Deposits "); a Lincoln Street Project Reserves Account, account number 737 - 58196 (the "Lincoln <br />Street Funds "); a lockbox account, account number 163 - 3967284 (the "Lockbox Account "); and <br />an investment account, account number 163- 3967243 (the "Investment Funds ") (collectively, the <br />"LHA Funds "); <br />XVI. LHA is the debtor on certain promissory notes, attached hereto and incorporated by reference <br />herein as Exhibit G (the "Lilac Note "), Exhibit H and Exhibit I (the "Regal Court Notes "), Exhibit <br />J (the "Regal Square Note "), Exhibit K (the "Lincoln Street Note "), and Exhibit L (the "AHP East <br />Street Note ") (collectively, the "LHA Debt "); <br />PARTNERSHIP INTEREST AND OPTION <br />XVII. For the purpose of providing affordable housing to the residents of the City of Louisville, LHA <br />owns a certain partnership interest (the "East Street Partnership Interest ") in the East Street <br />Limited Partnership, a limited partnership pursuant to the Colorado Uniform Limited <br />Partnership Act (the "East Street Partnership "); <br />XVIII. LHA is the general partner of the East Street Limited Partnership, which owns certain real <br />property more particularly described in Exhibit M, attached hereto and incorporated by <br />reference herein (the "East Street Property "); <br />XIX. Pursuant to Section 6.1 of the First Amended and Restated Agreement of Limited Partnership <br />of East Street Limited Partnership (the "East Street PA "), LHA does not have the right to sell, <br />transfer, or assign any portion of its general partnership interest in the East Street Partnership <br />Agreement without the written consent of the limited partner (the "East Street Limited <br />Partner ") of the East Street Partnership; <br />XX. Pursuant to Section 18.1 of the East Street PA, LHA holds an option to purchase the East Street <br />Property (the "East Street Option ") under the terms set forth more fully in the East Street PA; <br />XXI. LHA is the property manager of the East Street Property under a separate property <br />management agreement between LHA and the East Street Partnership (the "LHA East Street <br />Property Management Agreement "); <br />XXII. BCHA is the property manager of the East Street Property under a separate property <br />management agreement between BCHA and LHA (the "East Street Property Management <br />Agreement "); <br />
