COMMUNITY ROOM USE AGREEMENT <br />BETWEEN ALFALFA'S MARKET, INC. AND THE CITY OF LOUISVILLE, CO <br />This Community Room Use Agreement ( "the Agreement ") is made this day J---- <br />of --)c\ , 2014, by and between Alfalfa's Market, Inc. a Colorado Corporation ( "the <br />Company ") and City of Louisville, Colorado, a Colorado municipal corporation ( "the City "). <br />WHEREAS, the Company and the City entered into a Business Assistance Agreement <br />dated October 16, 2012; and <br />WHEREAS, the Business Assistance Agreement outlines the City's assistance towards <br />funding of the construction of a Community Room of approximately 1,000 square feet in the <br />building leased by the Company at 785 E. South Boulder Road; and <br />WHEREAS, the Company and the City desire to enter into this Agreement to comply <br />with and implement the provisions of Section 8 of the Business Assistance Agreement. <br />NOW, THEREFORE, in consideration of the mutual covenants herein contained and for <br />other good and valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged, the City and the Company hereby agree as follows: <br />1. Recognition Plaque. The Company shall install a plaque in the Community Room <br />indicating the Community Room was constructed with funding from the City. The <br />plague design shall be approved by the Company and the City prior to its fabrication and <br />installation. <br />2. City Use of Community Room. The City shall have the right without charge to use the <br />Community Room for City- sponsored events and meetings at a minimum of 10 hours per <br />week. Use of the Community Room for City- sponsored events and meetings will occur <br />at mutually acceptable times within Alfalfa's normal operating hours, scheduled in <br />advance through the Company's Guest Services /Special Programs department or other <br />designated representative. The Company and the City shall exchange and update as <br />necessary current contact information for their designated representatives. The City will <br />follow all the current Community Room conditions published by Alfalfa's. <br />3. Period of Use. The Company and the City agree that the right of use granted to City <br />under Section 2 shall be for a period of not less than 10 years from the first day of the <br />month after the date the Company commences retail sales to the public from the 785 E. <br />South Boulder Road Store ( "the Commencement Date "). As provided in the Business <br />Assistance Agreement, the Company and the City agree the City shall be entitled to <br />return of a proportionate share of its contribution towards construction of the Community <br />Room if the Community Room is not available to the City for a period of not less than 10 <br />
