WHEREAS, the City Council finds that sale and conveyance of the Parcels in accordance <br />with the MOAs will avoid the commencement by CDOT of condemnation proceedings for <br />acquisition of the Parcels; and <br />WHEREAS, the City is authorized by law to enter into the MOAs, and the City Council <br />finds and determines that execution of the MOAs is in the best interest of the City and its citizens; <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE <br />CITY OF LOUISVILLE, COLORADO: <br />1. The City Council hereby approves those certain Memorandums of Agreement <br />between the City of Louisville and the Colorado Department of Transportation for CDOT's <br />acquisition of the above - described Parcels (the "MOAs "), in substantially the same form as the <br />copy of such MOAs accompanying this Resolution. <br />2. The Mayor is hereby authorized to execute the MOAs on behalf of the City Council <br />of the City of Louisville, except that the Mayor is hereby further authorized to negotiate and <br />approve such revisions to the MOAs as the Mayor determines are necessary or desirable for the <br />protection of the City, so long as the essential terms and conditions of the MOAs are not altered. <br />3. The Mayor, City Manager and City Staff are hereby authorized and directed to do all <br />things necessary on behalf of the City to perform the obligations of the City under the MOAs and to <br />effect the conveyance of the Parcels upon the terms and conditions of the MOAs, including without <br />limitation executing and delivering any documents necessary in connection with the closing of the <br />conveyance of the Parcels. <br />PASSED AND ADOPTED this day of , 2013. <br />ancy Varra, ity Clerk <br />;A, <br />Robert P. 41AAVIL-- <br />le, Mayor <br />
