II. TERM <br />a. Term. The term of this Agreement begins on the date of the last signature affixed hereon <br />and shall continue for a period of three years until May 1, 2018 ( "Initial Term "); provided <br />however that this Agreement shall further remain in effect during the period necessary to <br />complete all eligible activities funded during the term of the State Agreement, and any <br />extensions of the State Agreement. Except as provided in paragraph II.b., Collaborative <br />members are prohibited from withdrawing from the Agreement during this Initial Term. <br />This Agreement shall automatically be renewed for one year periods if necessary to comply with <br />the State Agreement and to ensure the Collaborative's participation in successive funding periods <br />(Round 3 and/or succeeding or additional funding Rounds with funding made available and <br />agreed on to pursue or accept by the Collaborative) from the State. The Lead Agency shall <br />notify each Participating Government in writing of its right to decide not to participate in the <br />Collaborative for the next funding period. If a Participating Government decides not to <br />participate in the Collaborative for the next funding period, the Participating Government shall <br />notify the Lead Agency within 30 days after the date of the Lead Agency's notification. If a <br />Participating Government fails to notify the Lead Agency that it is withdrawing from the <br />Collaborative, the Participating Government shall be deemed to have consented to the renewal of <br />this Agreement. The automatic renewal of the Agreement will not be binding upon a <br />Collaborative member if the Lead Agency fails to notify a Collaborative member as required <br />under this automatic renewal provision. <br />The Lead Agency shall provide a minimum of thirty (30) days advance written notice to each <br />Participating Government of any new funding periods.
