City Council Legal Review Committee <br />November 2, 2016 <br />Page 3 of 4 <br />501 directors may not direct the work of City staff members (it is in <br />violation of the City Charter). Staff can assist the 501s but there must be a <br />clear understanding of the time commitment and resources involved. <br />Members of the public noted that the various 501s raise money for City facilities <br />as a gift to the City so it is difficult to separate the work of the board from the <br />work of the City. <br />Mayor Pro Tem Lipton noted there is a way to assure legal separation and still <br />being able to work well together. <br />Menaker stated other cities manage to have public-private partnerships and that <br />should be the goal here. <br />City Manager Fleming stated the Library Foundation is a great example as they <br />are independent and they also partner with the Library and raise funds without <br />being under the City umbrella. <br />Menaker stated that his experience is that without being under the City's <br />umbrella it can be very hard to raise money. <br />Mayor Pro Tem Lipton stated not being under the City's umbrella can have great <br />advantages as there is then no need to live under the City's stringent rules. <br />Deb Fahey of the Seniors of Louisville board stated their concern that this means <br />the City will start charging them for using of the Senior Center and hosting <br />events. <br />Mayor Pro Tem Lipton noted that all of the 501 s can ask for grant money from <br />the City. <br />Jennifer Strand, Cultural Council, noted their board is the only one with the <br />interlocking membership problem and they are willing to work with the City to fix <br />that. <br />Fahey noted it sounds like the City wants to take away many of their benefits. <br />Mayor Pro Tem Lipton stated the City's commitment to the 501s is not changing, <br />just the structure. <br />Paula Elrod, History Foundation, stated it feels like this is the first step in the City <br />reducing or ending funding for the boards. Mayor Pro Tem Lipton stated it is not <br />that at all, it is simply a fix to some legal issues. <br />Lipton left the meeting at 4:15 PM. <br />
