RESOLUTION NO. 67 SERIES 2017 A RESOLUTION APPROVING A DESIGN -BUILD SERVICES AGREEMENT BETWEEN GLACIER CONSTRUCTION CO., INC. AND THE CITY OF LOUISVILLE FOR THE LOUISVILLE WATER TREATMENT PLANTS IMPROVEMENTS PROJECT WHEREAS, the City of Louisville desires to engage Glacier Construction Co , Inc for certain services related to the design and construction of improvements to the City's Howard Berry and Sid Copeland Water Treatment Plants (the "Project"), and WHEREAS, a contract between the City and Glacier Construction Co , Inc has been proposed for such purpose, and WHEREAS, the City Council finds that the proposed contract is in the best interests of the City and its citizens, and by this resolution desires to approve the contract, authonze its execution, and authonze certain other actions m connection therewith NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: 1 The City Council hereby approves that certain Design -Build Services Agreement between the Glacier Construction Co , Inc and the City of Louisville for the City of Louisville Water Treatment Plants Improvements Project (the "Project"), m substantially the same form as the copy of such Agreement accompanymg this Resolution 2 The Mayor is hereby authonzed to execute the Agreement on behalf of the City Council of the City of Louisville, except that the Mayor and City Manager are hereby further authonzed to negotiate and approve such revisions to the Agreement as the Mayor or City Manager determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the Agreement are not altered 3 The Mayor, City Manager, Director of Public Works, and City Staff are hereby authonzed and directed to do all things necessary on behalf of the City to perform the obligations of the City under the Agreement, mcludmg without limitation that the Mayor or City Manager are authorized to execute and deliver any contract amendments and other documents appropriate in connection with the Agreement and completion of the Project, provided, however, that the City shall not be obligated for Construction Phase services for the Project unless and until the Guaranteed Maximum Pnce Amendment has been executed by the Mayor or City Manager PASSED AND ADOPTED this 28th day of November, 2017 Robert P Muckle, Mayor Resolution No 67, Series 2017 Page 1 of 2
