related to execution of the Grant and completion of the Construction Phase; and <br />WHEREAS, the City Council fmds that the proposed Agreement is in the best interests of <br />the City and its citizens, and by this resolution desires to approve the Agreement and authorize its <br />execution, <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO• <br />1 The City Council hereby approves that certain Intergovernmental Agreement for <br />Sharing of Costs of Quiet Zone Project Construction Services between the City of Louisville and the <br />City of Lafayette to identify the allocation of the cost of local matching funds for the Construction <br />Phase of the Project, and to establish the process by which such allocation and payment of matching <br />funds will be accomplished (the "Agreement"). A copy of the Agreement is attached hereto and <br />incorporated herein by this reference. <br />2. The Mayor is hereby authorized to execute the Agreement on behalf of the City <br />Council of the City of Louisville, except that the Mayor and the City Manager are hereby further <br />authorized to negotiate and approve such revisions to the Agreement as the Mayor or City Manager <br />determines are necessary or desirable for the protection of the City, so long as the essential terms <br />and conditions of the Agreement are not altered. <br />3 The Mayor, City Manager and City staff are hereby authorized to execute all <br />documents and do all other things necessary on behalf of the City to perform the obligations of the <br />City under the Agreement, including but not limited to execution of all certifications, forms, <br />memoranda of understanding, and other documents required in connection with the Agreement and <br />project. <br />PASSED AND ADOPTED this 8th day of January, 2019 <br />ATTEST <br />Mere.'h uth, City Clerk <br />Robert P Muckle, Mayor <br />Resolution No. 1, Series 2019 <br />Page 2 of 2 <br />
