Agreement for Fiber Optic Telecommunications Network ("Agreement"), whereby the City and District desire to continue the lease and license granted by the 2008 Agreement, and to set forth their mutual understandings of their respective rights and obligations in connection with the City Conduit, Dedicated City Fiber, and the District Network; and WHEREAS, the City Council finds that the proposed Agreement is in the best interests of the City and its citizens, and by this resolution desires to approve the Agreement and authorize its execution, NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO• 1 The City Council hereby approves that certain Amended and Restated Lease and License Agreement for Fiber Optic Telecommunications Network between the City of Louisville and the Boulder Valley School District No RE-2 to set forth their mutual understandings of their respective rights and obligations in connection with the City Conduit, Dedicated City Fiber, and the District Network (the "Agreement") A copy of the Agreement is attached hereto and incorporated herein by this reference. 2. The Mayor is hereby authorized to execute the Agreement on behalf of the City Council of the City of Louisville, except that the Mayor and the City Manager are hereby further authorized to negotiate and approve such revisions to the Agreement as the Mayor or City Manager determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the Agreement are not altered. 3 The Mayor, City Manager and City staff are hereby authorized to execute all documents and do all other things necessary on behalf of the City to perform the obligations of the City under the Agreement, including but not limited to execution of all certifications, forms, memoranda of understanding, and other documents required in connection with the Agreement and project.
