DocuSign Envelope ID: B458D7FB-FB93-4775-A3CB-AC48CB34C275 <br />GENERAL PROVISIONS <br />The following clauses apply to this contract. In some instances, these general clauses have been expanded upon in <br />other sections/exhibits of/to this contract. To the extent that other provisions of the contract provide more specificity <br />than these general clauses, the more specific provision shall control. <br />Governmental Immunity. Notwithstanding any other provision to the contrary, no term or condition of this <br />contract shall be construed or interpreted as a waiver, express or implied, of any of the immunities, rights, <br />benefits, protection or other provisions of the Colorado Governmental Immunity Act, Section 24-10-101 <br />et.seq., CRS, as now or hereafter amended. The parties understand and agree that liability for claims for injuries <br />to persons or property arising out of negligence of the State of Colorado, its departments, institutions, agencies, <br />boards, officials and employees is controlled and limited by the provisions of Section 24-10-101 et.seq. CRS <br />and the risk management statutes, Section 24-30-1501, et.seq, CRS as now or hereafter amended. <br />Available Funds Contingency <br />a. Available Funds. The State is prohibited by law from making commitments beyond the term of the <br />State's current fiscal year; therefore, Contractor's compensation beyond the State's current Fiscal Year <br />is contingent upon the continuing availability of State appropriations as provided in the Colorado <br />Special Provisions. Payments pursuant to this Contract shall be made only from available funds <br />encumbered for this Contract and the State's liability for such payments shall be limited to the <br />available amount remaining of such encumbered funds. In the event that state funds become <br />unavailable for this Contract, as determined by the State, the State may immediately terminate this <br />Contract or amend it accordingly. <br />b. Federal Funds Contingency. Payment pursuant to this contract, if in federal funds, whether in whole or <br />in part, is subject to and contingent upon the continuing availability of federal funds for the purposes <br />hereof. In the event that said funds, or any part thereof, become unavailable, as determined by the <br />State, the State may immediately terminate this contract or amend it accordingly without liability <br />including liability for termination costs. <br />Billing Procedures. The State shall establish billing procedures and requirements for payment due the <br />Contractor in providing performance pursuant to this contract. The Contractor shall comply with the established <br />billing procedures and requirements for submission of billing statements. The State shall comply with CRS 24- <br />30-202(24) when paying vendors upon receipt of a correct notice of the amount due for goods or services <br />provided hereunder. <br />Exhibits - Interpretation. Unless otherwise stated, all referenced exhibits are incorporated herein and made a <br />part of this contract. Unless otherwise stated, the terms of this contract shall control over any conflicting terms <br />in any of its exhibits. In the event of conflicts or inconsistencies between this contract and its exhibits or <br />attachments, such conflicts or inconsistencies shall be resolved by reference to the documents in the following <br />order of priority: 1) the Special Provisions of this Contract; 2) the Additional Provisions Exhibit A and its <br />attachments if included; 3) the Contract (other than the Special Provisions); 4) the RFP if applicable and <br />attached; 5) the Scope/Statement of Work Exhibit B and its attachments if included; 6) the Contractor's <br />proposal if applicable and attached; 7) other exhibits/attachments in their order of appearance. <br />The conditions, provisions, and terms of any RFP attached hereto, if applicable, establish the minimum <br />standards of performance that the Contractor must meet under this Contract. If the Contractor's Proposal, if <br />attached hereto, or any attachments or exhibits thereto, or the Scope/Statement of Work Exhibit B, <br />establish or create standards of performance greater than those set forth in the RFP, then the Contractor <br />shall also meet those standards of performance under this Contract. <br />Notice and Representatives. For the purposes of this contract, the representative for each party is as designated <br />herein. Any notice required or permitted may be delivered in person or sent by registered or certified mail, <br />return receipt requested, to the party at the address provided, and if sent by mail it is effective when posted in a <br />U.S. Mail Depository with sufficient postage attached thereto.
