District, and the United States of America for the purpose of utilizing the unused <br />capacity of the facilities of the Colorado —Big Thompson Reclamation Project for <br />the carriage of Windy Gap Project Water, and any subsequent amendments or <br />successor contracts for the same purpose. <br />1.5. "C-BT Project Water" means water from the Colorado —Big Thompson <br />Reclamation Project. <br />1.6. "Chimney Hollow Reservoir" means that reservoir to be located in Sections 4, 5, <br />8, and 9, T4N, R7OW, and Sections 33 and 34, T5N, R7OW, 6th P.M., Larimer <br />County, Colorado, and generally described in the U.S. Bureau of Reclamation <br />Record of Decision, together with supporting documents, for the WGFP. <br />1.7. "Contract" means this contract. <br />1.8. "Costs and Expenses" or "C&E" means any and all costs and expenses incurred <br />for the WGFP, all of which are encompassed by one of the following defined terms: <br />1.8.1. "Capital C&E" means and includes any and all Initial C&E, Completion <br />C&E, and Future Extraordinary C&E, including if applicable any and all <br />WGFP Financing Costs associated with the same. <br />1.8.1.1. "Initial C&E" means the WGFP Enterprise's initial estimated <br />costs of construction and completion of the WGFP with <br />approximately 90,000 acre-feet of usable water storage capacity <br />to be funded by the WGFP Allottees under Section 6.2.1. <br />1.8.1.2. "Completion C&E" means the WGFP Enterprise's costs in <br />excess of Initial C&E, if any, that are necessary for the <br />construction and completion of the WGFP with approximately <br />90,000 acre-feet of usable water storage capacity to be funded <br />by the WGFP Allottees under Section 6.2.2. <br />1.8.1.3. "Future Extraordinary C&E" means the WGFP Enterprise's <br />costs of any individual repair, replacement, rehabilitation, <br />improvement, or regulatory compliance activities incurred after <br />Initial C&E and Completion C&E that are required to be <br />undertaken under Section 6.2.3 for the continued safe operation <br />of the WGFP and that, because of the large amount of such costs, <br />cannot be paid (1) using the Operating Reserve Fund or (2) by <br />the WGFP Allottees through an annual payment for Operating <br />C&E. <br />1.8.2. "Operating C&E" means any and all costs, exclusive of Initial C&E, <br />Completion C&E, and Future Extraordinary C&E, incurred by the WGFP <br />Enterprise (1) to administer, operate, maintain, repair, replace, rehabilitate, <br />and improve the WGFP; (2) attributable to the delivery and storage of water <br />in Chimney Hollow Reservoir that are not paid pursuant to a WGFP <br />Allottee's Windy Gap Project allotment contract, including, without <br />limitation, pumping costs, carriage costs, and power interference costs; and <br />3 <br />
