SECOND AMENDMENT TO THE 2019-2020 CONTRACT FOR PROJECT EDGE <br />AND OTHER MENTAL HEALTH AND ELDER SERVICES BETWEEN THE CITY OF <br />LOUISVILLE AND COMMUNITY REACH CENTER <br />This SECOND AMENDMENT is made and entered effective as of the 15' day of <br />December, 2020 by and between the CITY OF LOUISVILLE, a Colorado municipal corporation <br />(City) and COMMUNITY REACH CENTER, INC., a Colorado nonprofit corporation <br />(Contractor). <br />WHEREAS, the City and Contractor previously entered into a 2019-2020 Contract for <br />Project Edge and Other Mental Health and Elder Services dated September 17, 2019, as amended <br />by that First Amendment dated November 2, 2020 (collectively, the "Agreement"); and <br />WHEREAS, the Agreement expired on September 30, 2020, which date was extended <br />until December 31, 2020 by the First Amendment to the Agreement; and <br />WHEREAS, the parties have entered into a new agreement for services, which is <br />contingent on the City's receipt of a grant from DOLA for the Peace Officer Mental Health <br />Support Grant Program for 2020-2021 (the "2020-2021 DOLA Grant"); and <br />WHEREAS, approval and funding from the 2020-2021 DOLA Grant has been delayed, <br />and the City has agreed to extend funding for mental health services t; and <br />WHEREAS, the parties have determined it is in their best interests to extend the term of <br />the Agreement and update the payment provisions of the Agreement. <br />NOW, THEREFORE, in consideration of the foregoing recitals, and other good and <br />valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as <br />follows: <br />1. Paragraph 1 of the Agreement is hereby amended to read as follows (words to be <br />added are underlined; words to be deleted are stfieke thfe tg ): <br />TERM: The term of this Contract is from Oeteber- 1,z January 1, 2021 <br />through neeember-z2020 February 28, 2021 or the City's receipt of 2020-2021 <br />DOLA Grant funds, whichever occurs first. This Contract will immediately <br />terminate when the City notifies Contractor that it has received the 2020-2021 <br />DOLA Grant funds or notifies Contractor that such funding will not be available. <br />If the City does not receive the 2020-2021 DOLA Grant, the City Manager is <br />authorized to extend the term of this Contract or to execute a new contract with <br />Contractor to provide services in 2021 and 2022 upon a determination by the City <br />Manager that there are sufficient and acceptable funds to fund Contractor's <br />SATViPP1 <br />2.
