DocuSign Envelope ID: 8DO9D9F9-F223-4E3B-8885-EB2B2BA2451B THIRD AMENDMENT TO THE 2019-2020 CONTRACT FOR PROJECT EDGE AND OTHER MENTAL HEALTH AND ELDER SERVICES BETWEEN THE CITY OF LOUISVILLE AND COMMUNITY REACH CENTER This THIRD AMENDMENT is made and entered effective as of the 1 bth day of February, 2020 by and between the CITY OF LOUISVILLE, a Colorado municipal corporation (City) and COMMUNITY REACH CENTER, INC., a Colorado nonprofit corporation (Contractor). WHEREAS, the City and Contractor previously entered into a 2019-2020 Contract for Project Edge and Other Mental Health and Elder Services dated September 17, 2019, as amended by that First Amendment dated November 2, 2020 and the Second Amendment dated December 15, 2020 (collectively, the "Agreement"); and WHEREAS, the Agreement expired on September 30, 2020, which date was extended until February 28, 2021 by the First and Second Amendments to the Agreement; and WHEREAS, the parties have entered into a new agreement for services, which is contingent on the City's receipt of a grant from DOLA for the Peace Officer Mental Health Support Grant Program for 2020-2021 (the "2020-2021 DOLA Grant"); and WHEREAS, approval and funding from the 2020-2021 DOLA Grant has been delayed, and the City has agreed to extend funding for mental health services; and WHEREAS, the parties have determined it is in their best interests to extend the tern of the Agreement and update the payment provisions of the Agreement. NOW, THEREFORE, in consideration of the foregoing recitals, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Paragraph l of the Agreement is hereby amended to read as follows (words to be added are underlined; words to be deleted are st-riek-en thfeugh): TERM: The term of this Contract is from janaaFy ', 7071 d4FE)L t;h pebr-u -y 28 2421 March 1. 2021 through April 30 2021 or the City's receipt of 2020-2021 DOLA Grant funds, whichever occurs first. This Contract will immediately terminate when the City notifies Contractor that it has received the 2020-2021 DOLA Grant funds or notifies Contractor that such funding will not be available. If the City does not receive the 2020-2021 DOLA Grant, the City Manager is authorized to extend the term of this Contract or to execute a new contract with Contractor to provide services in 2021 and 2022 upon a determination by the City Manager that there are sufficient and acceptable funds to fund Contractor's services. 2.
