The form of the conservation <br />easements in gross shall be as provided in the <br />Louisville/County IGA. <br />d. Cooperation. The parties shall cooperate in obtaining <br />new title insurance policies to insure their respective fee and <br />conservation easement interests in Trillium Parcels 1-4, <br />excluding the New Alignment Parcel, and including the portion of <br />the Original Alignment Parcel which is not a part of the New <br />Alignment Parcel. The parties shall exchange other closing <br />documents reasonably required by each other or the title <br />insurance company to complete these transactions, and other <br />documents provided for under the Louisville/County IGA. <br />3. Continciencies. The parties' obligations to convey are <br />subject to the City of Broomfield's conveyance to Boulder County <br />of the Original Alignment Parcel and to inclusion of portions of <br />the Original Alignment Parcel within the final conveyances set <br />forth in Section 2.b. As a condition precedent to the City's <br />obligations to convey, the County shall cause to be executed and <br />delivered to the City properly executed and irrevocable petitions <br />for disconnection pursuant to C.R.S. §31-12-501, sufficient to <br />permit the City to proceed with disconnection of the Original <br />Alignment Parcel, the New Alignment Parcel, and any property <br />lying between such Alignments. Such petitions shall be executed <br />by the County with a consent by the PHA for any parcel to be <br />owned by it after closings under the PHA Open Space IGA. <br />Except as provided herein, all other terms and conditions of <br />the Louisville/County IGA shall remain in full force and effect. <br />Executed to be effective this day of 2001. <br />BOARD OF COUNTY COMMISSIONERS CITY OF LOUISVILLE, <br />OF BOULDER COUNTY, COLORADO a Colorado statutory city <br />By: Jana L.
