FILED <br />JUN 20 EDS <br />STATE OF COLORADO <br />LOUISVILLE ARTS AND HUMANITIES c914gPitiT OF STATE <br />ARTICLES OF INCORPORATION <br />Pursuant to the provisions of the Colorado Nonprofit <br />Corporation Act, being Articles 20 to 29 of Title 7, Colorado <br />Revised Statutes, the undersigned incorporators, desiring to form <br />a non-profit corporation, hereby sign, acknowledge and deliver in <br />duplicate to the Secretary of State to the State of Colorado <br />these Articles of Incorporation: <br />ARTICLE I - NAME <br />The name of the corporation shall be "LOUISVILLE ARTS AND <br />HUMANITIES COUNCIL". <br />ARTICLE II - DURATION <br />The period of duration of the corporate existence of the <br />corporation shall be perpetual. <br />ARTICLE III - PURPOSES <br />This corporation is formed exclusively for the purposes for <br />which a nonprofit corporation may be formed under the Colorado <br />Nonprofit Corporation Act and not for pecuniary profit or finan- <br />cial gain and is organized for any lawful purpose, including, <br />without being limited to, the following: <br />a. To exercise all powers, privileges, and rights neces- <br />sary or advisable to carry out the objects and purposes <br />for which such corporation is created, it being the <br />intent that this corporation shall have all the bene- <br />fits, privileges, rights, and powers created, extended, <br />or conferred by the provisions of all applicable laws <br />of the State of Colorado pertaining to non-profit <br />corporations, and any amendments thereto. <br />b. This corporation is organized and operated exclusively <br />for charitable and civic purposes, including, for such <br />purposes, the making of distributions to organizations <br />that qualify as exempt organizations under Section <br />501(c)(3) of the Internal Revenue Code of 1986 (or the <br />corresponding provision of any future United States <br />Internal Revenue law). <br />
