1st AMENDMENT TO THE BUSINESS ASSISTANCE AGREEMENT FOR CV 282 <br /> CENTURY PLACE, LLC IN THE CITY OF LOUISVILLE. <br /> THIS AGREEMENT "Agreement is made and entered into as of the 20th day of April, <br /> 2010, between the CITY OF LOUISVILLE, a Colorado home rule municipal corporation (the <br /> "City and CV 282 CENTURY PLACE, LLC, a Colorado limited liability company. <br /> WHEREAS, the City and CV 282 Century Place, LLC entered into a Business Assistance <br /> Agreement dated October 5, 2007 "Prior Agreement concerning a rebate of building permit <br /> fees and construction use tax in connection with the "project" defined therein; and <br /> WHEREAS, the City and CV 282 Century Place, LLC desire to amend paragraph 4 of <br /> Prior Agreement to delete the last sentence thereof, and to memorialize certain understandings <br /> related to the Prior Agreement; <br /> NOW THEREFORE, for good and valuable consideration, the City and CV 282 <br /> CENTURY PLACE, LLC agree as follows: <br /> A. Paragraph 4 of the Prior Agreement is amended to read in full as follows: <br /> 4. Cap; Future Fees. The amount of rebate payments provided for under this <br /> Agreement shall be determined solely by reference to building permit fees and <br /> construction use tax for initial construction of the building, and the collective <br /> amount of rebate payments under this Agreement shall in no event exceed <br /> $43,290.00. <br /> B. CV 282 Century Place, LLC acknowledges that, with regard to any future <br /> business assistance requests for the project, no funds shall be rebated for any tenant finish <br /> construction for current tenants within Louisville who may choose to relocate to the project. <br /> C.
