Uurl, <br /> The Colorado Open Land Foundation ("COLS"), a non-profit organisation incorporated <br /> under the laws of Colorado is interested in assisting the City of Louisville in the <br /> possible acquisition of the Estavills Property. This property consists of 26.37 <br /> acres and it is our understanding that the City desires to purchase the property <br /> for open space and/or perk purposes. <br /> Tine purchase appears to have similarities in structure with the Mt. Falcon purchase <br /> that was *located by Jefferson County and CALF. As in that situation, COLIC could <br /> assist the City with those services reasonably required to accomplish the proposed <br /> acquisition such as negotiation and financing. <br /> For these services, COLD would be paid a fee of $3,000.00 by the City upon the <br /> successful closing of the purchase. Additionally, it is anticipated that releases <br /> from the property will be made from time to time when portions of the property are <br /> deeded to the City. COIF would invoice the City $150.00 per such transactionAli <br /> COLF will be an independent contractor for all purposes hereunder and GOLF agrees <br /> to hold the City harmless from claims, demands, and actions for loss, injury, damage <br /> or liability resulting from the efforts at acquisition described herein. All offers <br /> will be made in the name of COIF subject to the Approval of the City Council. CODE <br /> will coordinate directly with whomever the City appoints to monitor the acquisition <br /> efforts. <br /> This agreement is for a term of six (6) months from the data of this letter. It may <br /> be continued beyond that tears by the mutual agreement of the parties. If you agree <br /> with the foregoing, please so indicate by signing this letter, below, and returning <br /> one copy for our files.
