Uurl, The Colorado Open Land Foundation ("COLS"), a non-profit organisation incorporated under the laws of Colorado is interested in assisting the City of Louisville in the possible acquisition of the Estavills Property. This property consists of 26.37 acres and it is our understanding that the City desires to purchase the property for open space and/or perk purposes. Tine purchase appears to have similarities in structure with the Mt. Falcon purchase that was *located by Jefferson County and CALF. As in that situation, COLIC could assist the City with those services reasonably required to accomplish the proposed acquisition such as negotiation and financing. For these services, COLD would be paid a fee of $3,000.00 by the City upon the successful closing of the purchase. Additionally, it is anticipated that releases from the property will be made from time to time when portions of the property are deeded to the City. COIF would invoice the City $150.00 per such transactionAli COLF will be an independent contractor for all purposes hereunder and GOLF agrees to hold the City harmless from claims, demands, and actions for loss, injury, damage or liability resulting from the efforts at acquisition described herein. All offers will be made in the name of COIF subject to the Approval of the City Council. CODE will coordinate directly with whomever the City appoints to monitor the acquisition efforts. This agreement is for a term of six (6) months from the data of this letter. It may be continued beyond that tears by the mutual agreement of the parties.
