The City Attorney has reviewed the <br />agreements and may have some clarifying comments. <br />Griffiths: The concerns that I have are basically the cost to the <br /> City of Louisville and potential liability to the City of <br /> Louisville. This is handling household hazardous waste, <br /> the actual services will be performed by a contractor <br /> who has entered into a contract with Boulder County to <br /> operate the program. I feel that it is important that the <br /> contractor enter into an agreement to indemnify all of <br /> the cities for any liability costs or expenses that might <br /> result from any action of the contractor under the <br /> agreement, since the City of Louisville won't have any <br /> actual control over the operation of the site itself. <br /> Consequently, it seems appropriate that the contractor <br /> agree to indemnify the municipalities if any problems <br /> occur. The contractor has agreed to indemnify Boulder <br /> County. I saw a draft of the indemnification agreement <br /> from the contractor to the municipalities and I made <br /> some comments to that. I did not see that in the <br /> documents that were sent out last week and I would like <br /> to know what the status of that is. I think that if the <br /> City would like to proceed with approval of the <br /> program, it is my recommendation that it approve it <br /> contingent upon the City receiving an indemnification <br /> agreement from the contractor in a form satisfactory to <br /> the City Administrator and the City Attorney. <br />Debbie Pfieff, Boulder County Public Works <br />Pfieff: I believe that Leslie Lacey, the Assistant County <br /> Attorney, has faxed several documents to you. I have a <br /> copy of the indemnification agreement. The City of <br /> Broomfield had the same indemnification concerns as <br /> did Boulder, Longmont, and Lafayette. I believe the <br /> indemnification agreement that Broomfield received was <br /> agreeable with their Attorney.
