AGREEMENT FOR ANIMAL IMPOUNDMENT SERVICES <br /> <br /> THIS AGREEMENT FOR SERVICES is between the CITY OF LOUISVILLE. <br />State of Colorado (the "City"), and THE HUMANE SOCIETY OF BOULDER VALLEY, <br />INC. (the "Humane Society"), referred to jointly hereinafter as the "Parties." <br /> <br /> The Parties, in consideration of their respective rights and obligations as set forth in this <br />Agreement, hereby agree as follows: <br /> <br /> 1. Previous Agreement Superseded. This Agreement shall replace completely and <br />supersede any other prior Agreements between the Parties for animal impound and sheltering <br />services. <br /> <br /> 2. Term of Agreement; Termination. This Agreement shall be effective as of January <br />1, 2001 and shall terminate on December 31, 2018; provided, however, that the City max' <br />terminate this Agreement with or without cause upon 90 days' prior written notice to the <br />Humane Society. This Agreement may be renewed or extended by written agreement of the <br />parties. <br /> <br /> 3. Payments Subject to Appropriation. The City's obligation to pay any sum of <br />money under this Agreement is subject to the appropriation of sufficient funds therefor by the <br />City Council of the City (the "Council"). Nothing herein is intended or shall be construed to <br />constitute a debt, multiple fiscal year direct or indirect debt or other financial obligation or <br />indebtedness of the City within the meaning of any provision or limitation of the Constitution or <br />statutes of the State, and shall never constitute nor give rise to a pecuniary liability of the City or <br />a charge against its general credit or taxing powers. However, the City shall be obligated to pay <br />for all services actually received. <br /> <br /> 4. Amendment. This Agreement may be amended by the Parties at any time during its <br />term, proVided that it is amended in writing and such amendment is agreed to and signed by the <br />authorized representatives of both Parties. <br /> <br />5. Services to be Provided by the Humane Society. <br /> <br />(a) <br /> <br />(b) <br /> <br />The Humane Society agrees to maintain a shelter facility (the "Facility") within <br />Boulder County, Colorado in accordance with all applicable State of Colorado <br />health and animal treatment statutes. The Humane Society further agrees to act as <br />the receiving agency for impoundment and sheltering purposes with respect to all <br />animals brought to the Humane Society's Facility by authorized personnel of the <br />City. <br /> <br />The Humane Society agrees to hold all impounded animals for five days, and to <br />then dispose of animals, unless properly reclaimed by a verified owner within the <br />five day holding period. The Humane Society shall make reasonable efforts to <br />contact the owner of any impounded animal which is brought to it by the City <br />under this Agreement which bears reasonable means of identification. <br />Reasonable efforts will consist of attempting to contact the owner at the phone <br />number indicated on the license or tag. <br /> <br /> <br />
