10. <br /> <br /> In addition to all other rights and remedies of <br />Purchasers and the Seller as set forth and provided in this <br />Agreement, the Seller agrees that the Purchasers shall have <br />the right to terminate this Agreement and to make the same of <br />no further force and effect: <br /> <br />(a) <br /> <br />If the representations and warranties of Seller as set <br />forth and provided for in Paragraph 9 herein are not true <br />and correct as of the date of the closing; or <br /> <br />(b) <br /> <br />If Seller fails or refuses to provide the title insurance <br />commitment and title insurance policy to Purchasers <br />within the time period and in the form and content <br />required under the provisions of this Agreement; or <br /> <br />(c) <br /> <br />If any part of the Property is condemned, or if <br />proceedings for such condemnation are commenced or notice <br />of condemnation is received by Seller from a condemning <br />authority prior to the date of closing of the Property; <br />or <br /> <br />(d) <br /> <br />If any of the standards provided for in Paragraph 11 <br />and/or 12 are not satisfied as of the date of closing of <br />the Property; or <br /> <br />(5) If the survey described in Paragraph 1 is not <br /> satisfactory to the Purchasers. <br /> <br /> If the Purchasers terminate this Agreement pursuant to this <br />provision all sums paid hereunder by Purchasers to Seller shall be <br />returned to Purchasers. If any of the Purchasers elect not to <br />purchase their interest in the Property based upon this Paragraph, <br />the remaining Purchaser/s may complete the transaction and purchase <br />the entire Property or terminate this Agreement as set forth in the <br />preceding sentence. <br /> <br />INSPECTION AND ENVIRONMENTAL AUDIT <br /> <br />11. At all reasonable times during the term of this Agreement, <br />Purchasers shall have access to the Property for the purpose of <br />conducting tests, studies and surveys thereon, including, without <br />limitation, environmental audits, soil and subsoil tests. <br />Purchasers may have performed at their option and/or expense the <br />following inspections: <br /> <br />(a) Soil and percolation tests; <br /> <br />(b) <br /> <br />Inspections for asbestos, PCB's, underground tanks, <br />or other hazardous substances; <br /> <br />(c) Any other tests and/or studies deemed necessary by <br /> <br />FIN~RU PURCHASE A~REEMENT -8- <br /> <br /> <br />
