(d) In case any one or more of the provisions contained in this Agreement shall <br />for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality <br />or unenforceability shall not affect any other provision hereof, and this Agreement shall be construed <br />as if such invalid, illegal or unenforceable provision had never been contained herein. <br /> (e) This Agreement constitutes the sole and only agreement of Purchaser and <br /> Seller and supersedes any prior understandings or written or oral agreements between Purchaser and <br /> Seller with respect to the Property. This Agreement may not be amended or modified except by <br /> written agreement signed by Purchaser and Seller. <br /> (f) Purchaser and Seller pledge to utilize their best good faith efforts to act in a <br /> timely and reasonable manner to consummate the transaction herein contemplated. <br /> (g) Timely performance by Purchaser and Seller is of the essence of this <br /> <br />Agreement. <br /> <br /> (h) Words of any gender used in this Agreement shall be held and construed to <br />include any other gender, and words in the singular number shall be held to include the plural, and <br />vice versa, unless the context requires otherwise. <br /> <br /> (i) The section headings utilized herein are for reference purposes only and are <br />not intended in any way to describe, interpret, define or limit the scope, extent or intent of this <br />Agreement or any part hereof. <br /> <br /> (j) The failure by either Purchaser or Seller to enforce against the other party any <br /> term or provision of this Agreement shall be deemed not to be a waiver of the right of either <br /> Purchaser or Seller to enforce against the other party the same or any other such term or provision. <br /> (k) This Agreement may be executed in multiple originals or counterparts, each <br /> of which shall be an original and, when Purchaser and Seller have each signed at least one (1) copy, <br /> such copies together shall constitute a fully executed and binding agreement. Upon execution, <br /> Purchaser may record this Agreement or a Memorandum thereof in the Office of the Boulder County <br /> Clerk and Recorder, but prior to doing so shall escrow with the Title Company a Release recordable <br /> in form relating thereto with a written authorization authorizing the Title Company to record the <br /> Release in the event of termination of the Purchase and Sale Agreement. <br /> <br /> (1) If either Purchaser or Seller files any action or brings any proceeding against <br /> <br /> the other arising out of this Agreement, or is made a party to any action or proceeding brought by <br /> <br />HSD\WI~'I\102~4L093~A-6P&SLouisvill¢.wpd = 1 3 = <br /> <br /> <br />
