2. The proposed Amended and Restated Agreement, Covenant and Right of First <br /> Refusal Regarding 520 South Boulder Road, Louisville, among the City of Louisville, the <br /> Louisville Housing Authority and Habitat for Humanity of Boulder Valley, Inc., doing business as <br /> Flatirons Habitat for Humanity, is hereby approved in essentially the same form as the copy of <br /> such Agreement accompanying this Resolution. <br /> 3. The Mayor is hereby authorized to execute the above listed agreements on behalf of <br /> the City, except that the Mayor and City Manager, or either of them, is hereby granted the authority <br /> to negotiate and approve such revisions to said agreements as are determined necessary or desirable <br /> for the protection of the City, so long as the essential terms and conditions of the agreements are not <br /> altered. <br /> 4. The Mayor, City Manager and City Staff are further authorized to do all things <br /> necessary on behalf of the City to perform the obligations of the City under the agreements and to <br /> effect the intent of the amendments within said agreements, including without limitation the <br /> execution of any closing documents or other documents that may be reasonably required by the title <br /> company in connection with recording of said amendments and any transfer of the Property from <br /> LHA to FHFH. <br /> 5. For purposes of a potential transfer of the Property from LHA to FHFH, the City <br /> hereby waives, effective as the date of this Resolution, its right of first refusal provided for in <br /> Section 7 of the Amended and Restated Agreement, Covenant and Right of First Refusal Regarding <br /> 520 South Boulder Road, Louisville, Colorado, which instrument is recorded April 23, 2003 at <br /> Reception Number 2428016. <br /> AND ADOPTED this 5� day of \(U'LQJ 2010. <br /> AT 1 :I .AL r7arles L.
