Equipment, which rebate in anticipated to be approximately $600,000. Lessee shall have and receive the <br />benefits of all Xcel Energy Solar Rewards renewable energy credits (RECs) associated with installation and <br />commissioning of the Equipment. Lessee shall execute those documents reasonably required by Lessor with <br />respect to Lessor's securing of federal tax incentives and the Xcel Energy Solar Rewards rebate, but Lessee <br />shall not have and is hereby expressly discharged from any liability to Lessor in the event such incentives or <br />rebate are not available or available at levels less than anticipated by Lessor. Lessor shall execute those <br />documents reasonably required by Lessee or Vendor with respect to Lessee's securing of RECs. <br />Section 13.02. Notices. All notices, certificates or other communications hereunder shall be <br />sufficiently given and shall be deemed given when delivered or mailed by registered mail, postage prepaid, to <br />the parties at their respective places of business. <br />Section 13.03. Binding Effect. This Lease shall inure to the benefit of and shall be binding upon <br />Lessor and Lessee and their respective successors and assigns. <br />Section 13.04. Severability. In the event any provision of this Lease shall be held invalid or <br />unenforceable by any court of competent jurisdiction, , such holding shall not invalidate or render <br />unenforceable any other provision hereof. <br />Section 13.05. Execution in Counterparts. This Lease may be simultaneously executed in several <br />counterparts, each of which shall be an original and all of which shall constitute but one and the same <br />instrument. <br />Section 13.06. Applicable Law. This lease shall be governed by and construed in accordance with <br />the laws of the State of Colorado wherein Lessee is located. <br />Section 13.07. Captions. The captions or headings in this Lease are for convenience only and in no <br />way define, limit or describe the scope or intent of any provisions or sections of this Lease. <br />IN WITNESS WHEREOF, Lessor has executed this Lease in its corporate name and attested by its <br />duly authorized officers and Lessee has caused this Lease to be executed in its corporate name with its with <br />its corporate seal hereunto affixed and attested by its duly authorized officers.
