RESOLUTION NO. 18 SERIES 1999 A RESOLUTION APPROVING A PURCHASE CONTRACT TO BUY AND SELL VACANT REAL ESTATE, WATER RIGHTS AND CONSERVATION EASEMENT WHEREAS, the City of Louisville and County of Boulder desire to purchase for open space, conservation, and right-of-way purposes title to and a conservation easement in certain parcels of real estate totaling approximately 296 acres and located on the west side of 96th Street and the north side of Dillon Road, together with certain water rights (hereinafter "the Property"); and WHEREAS, by Resolution No. 39, Series 1998, the City Council approved a form of Purchase Contract to Buy and Sell Vacant Real Estate, Water Rights and Conservation Easement, for the City and County's purchase of the Property; and WHEREAS, since the passage of that Resolution, the City and County have further negotiated with the owner of the Property the terms of a revised form of Purchase Contract; and WHEREAS, the owner of the Property, Warembourg Colorado Ranches, LLC, has stated its desire to sell the Property to the City and County upon the terms and conditions described in the revised form of Purchase Contract; and WHEREAS, the City Council desires to approve the revised form of Purchase Contract, and to purchase the Property upon the terms and conditions stated therein. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: 1. The proposed Purchase Contract to Buy and Sell Vacant Real Estate, Water Rights and Conservation Easement between the' City of Louisville, County of Boulder and Warembourg Colorado Ranches, LLC, is hereby approved in essentially the same form as the copy of such Purchase Contract accompanying this Resolution (the "Purchase Contract"). 2. The Mayor is authorized to execut~ the Purchase Contract, except that the Mayor is hereby granted the authority to negotiate and approve such revisions to said Purchase Contract as the Mayor determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the Purchase Contract are not altered. 3. The Mayor, City Administrator and City Staff are further authorized to do all things necessary on behalf of the City to perform the obligations of the City under the Purchase Agreement, and to execute and deliver any and all documents necessary to effect the purchase of the Property under the terms and conditions of the Purchase Contract.
