AMENDED AND RESTATED BYLAWS OF THE LOUISVILLE CULTURAL COUNCIL ARTICLE I The Council Section 1. Introduction. These Amended and Restated Bylaws ("Bylaws") of the Louisville Cultural Council are adopted pursuant to the authority stated in Resolution No. 10, Series 1989, Resolution No. 13, Series 1989, and Resolution No. 29, Series 2010. These Bylaws replace any previous Bylaws for Louisville Cultural Council or the Louisville Arts and Humanities Council. Section 2. Office. The office of the Council shall be considered the Louisville Recreation Center, 900 West Via Appia, Louisville, CO 80027, or such other place in the City of Louisville, Colorado as the City Manager may designate from time to time. Section 3, Purpose and Duties A. Advisory. Except as otherwise provided by City Charter or Municipal Code, the Council shall be advisory in character. B. Duties. The role of the Council will include, but not be limited to, advising the City Council on matters relating to the local arts community, advising the City Council on other issues as requested by the City Council, and sponsoring local arts and cultural programs. The Council shall 1. Recommend goals and policies pertaining to programs of LCC; 2. Create committees, subcommittees, and advisory committees as the Board of Directors deems necessary; 3. Provide advice concerning the acceptance or refusal of bequests, gifts, or donations, and management and maintenance of the same; 4. Create, adopt and review the proposed budget for LCC 5. Sponsor fund raising events for the benefit of LCC including those for which admission fees may be charged; 6. Apply for grants, funds, or cultural benefits as an "arts council" or otherwise in accordance with the Bylaws and the Articles of Incorporation; and, 7. Act as a service and advocacy body for the arts, sciences, and humanities. Page 1 of 9
