<br /> RESOLUTION NO. 22 <br /> SERIES 2006 <br />A RESOLUTION APPROVING AN AGREEMENT BETWEEN THE CITY OF <br />LOUISVILLE, COLORADO AND CITIZENS COMMUNITY TV, A COLORADO <br />NONPROFIT CORPORATION, FOR PUBLIC ACCESS CABLE TELEVISION <br />MANAGEMENT <br /> WHEREAS, by Ordinance No. 1488, Series 2006, the City has granted a franchise to <br />Comcast of Colorado I, LLC to operate a cable television system in the City; and <br /> WHEREAS, the franchise agreement requires the provision of Access Channels for the <br />provision of Public Access, Education Access and Governmental Access programming and <br />services, and provides that the City may in its discretion designate a Designated Access Provider <br />to manage or co-manage any Access Channels and facilities; and <br /> WHEREAS, the City has decided in its discretion to contract for management of Public <br />Access with an independent contractor to serve as the City's Designated Access Provider within <br />the meaning of the Franchise; and <br /> WHEREAS, upon adoption of Ordinance No. 1488, City Council authorized the issuance <br />of a request for proposals from interested persons or firms desiring to provide management and <br />related services related to Public Access programming and services; and <br /> WHEREAS, the City received one response to the RFP, from Citizens Community TV <br />("CCTV"), and the City has reviewed CCTV's proposal and related information; and <br /> WHEREAS, an agreement has been proposed between the City and CCTV for CCTV to <br />provide such Public Access cable television management services, and the City desires to <br />approve such agreement and its execution; <br /> NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br /> 1. The Proposed Agreement between the City of Louisville, Colorado and Citizens <br />Community TV, a Colorado nonprofit corporation, for Public Access cable television management <br />(the "Agreement"), is hereby approved in essentially the same form as the copy of such Agreement <br />accompanying this Resolution. <br /> 2. The Mayor is authorized to execute the Agreement on behalf of the City, except that <br />the Mayor is hereby further granted authority to negotiate and approve such revisions to said <br />Agreement as the Mayor determines are necessary or desirable for the protection of the City, so long <br />as the essential terms and conditions of the Agreement are not altered. <br /> 1 <br />
