ORDINANCE NO. 1215 SERIES 1996 AN ORDINANCE CONSENTING TO THE TRANSFER OF CONTROL OF THE CABLE TELEVISION FRANCHISE ISSUED TO SCRIPPS HOWARD CABLE COMPANY, A COLORADO CORPORATION. WHEREAS, the City of Louisville, Colorado granted a cable television franchise to Scripps Howard Cable Company, a Colorado corporation, pursuant to Ordinance 1197, Series 1995; and WHEREAS, Scripps Howard Cable Company, a Colorado corporation, is indirectly controlled by Scripps Howard, Inc. And the E. W. Scripps Company; and WHEREAS, Scripps Howard, Inc. And the E. W. Scripps Company, on October 28, 1995, entered into an Agreement and Plan of Merger with Comcast Corporation, whereby, upon the closing of the transactions contemplated by the Agreement, control of Scripps Howard Cable Company, a Colorado corporation, will transfer to Comcast Corporation; and WHEREAS, the franchise granted pursuant to Ordinance No. 1197, Series 1995, will continue to be held by Scripps Howard Cable Company, a Colorado corporation. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCil OF THE CITY OF lOUISVillE, COLORADO: Section 1. The City of Louisville hereby acknowledges that the cable television franchise granted to Scripps Howard Cable Company, a Colorado corporation, pursuant to Ordinance No. 1197, Series 1995, was validly issued and is in full force and effect. Section 2. The City of Louisville hereby consents to and approves the transfer of control of Scripps Howard Cable Company, a Colorado corporation, from Scripps Howard, Inc. And the E. W. Scripps Company, to Comcast Corporation, as described above, such transfer to be effective no later than December 31, 1996. Section 3. The Mayor is hereby authorized to sign such documents as may be necessary or appropriate to evidence such consent and approval. Section 4. All other ordinances or portions thereof inconsistent or conflicting with this ordinance or any portion hereof are hereby repealed to the extent of such inconsistency or conflict.
