<br />RESOLUTION NO. 22 <br />SERIES 2005 <br /> <br />A RESOLUTION APPROVING THE SECOND AMENDMENT TO CONSTRUCTION <br />MANAGEMENT/GENERAL CONTRACTOR AGREEMENT BETWEEN THE CITY <br />OF LOUISVILLE AND ADOLFSON & PETERSON CONSTRUCTION <br /> <br />WHEREAS, the City is undertaking a project referred to as the new City of Louisville <br />Library at 801 Front Street, Louisville, Colorado (the "Project"); and <br /> <br />WHEREAS, pursuant to a request for proposals, the City previously selected and <br />contracted with Adolfson & Peterson Construction to serve as the Construction Manager/General <br />Contractor (the "CM/GC") for the Project; and <br /> <br />WHEREAS, the parties in March 2005 set an initial Project Guaranteed Maximum Price <br />("GMP") of $7,611,665, and since that time have reviewed and adjusted certain costs items <br />included within the GMP calculation; and <br /> <br />WHEREAS, the CM/GC has proposed an adjusted GMP of $7,434,757, and an <br />amendment to the Construction Manager/General Contractor Agreement has been proposed to <br />reflect such adjusted GMP. <br /> <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE <br />CITY OF LOUISVILLE, COLORADO: <br /> <br />1. The proposed Second Amendment to Construction Manager/General Contractor <br />Agreement ("Second Amendment") between the City of Louisville and Adolfson & Peterson, <br />Inc., doing business as Adolfson & Peterson Construction, is hereby approved in essentially the <br />same form as the copy of such Second Amendment accompanying this Resolution. <br /> <br />2. The Mayor is authorized to execute the Second Amendment, except that the <br />Mayor is hereby granted the authority to negotiate and approve such revisions to said Second <br />Amendment as the Mayor determines are necessary or desirable for the protection of the City, so <br />long as the essential terms and conditions of the Second Amendment are not altered. <br /> <br />3. The City Manager and Deputy City Manager are hereby authorized to execute any <br />further amendments to the Construction Manager/General Contractor Agreement as are <br />determined necessary or desirable to reflect reductions of the GMP; each such amendment shall <br />be signed by both the City Manager and Deputy City Manager, and no such amendment shall <br />increase the GMP above the amount of $7,434,757 authorized by this Resolution. <br /> <br />PASSED AND ADOPTED this 7th day of June, 2005. <br /> <br /> <br />C <br /> <br />1 <br />
