RESOLUTION NO. 10 <br />SERIES 2017 <br />A RESOLUTION APPROVING AN INTERGOVERNMENTAL AGREEMENT WITH <br />THE CITY OF LAFAYETTE FOR THE SHARING OF COSTS OF QUIET ZONE <br />PROJECT DESIGN SERVICES <br />WHEREAS, Lafayette and Louisville desire to establish a quiet zone area along the <br />BNSF rail line from Baseline Road in Lafayette to Pine Street in Louisville, which will include <br />improvements at four highway rail crossings, three of which are in Louisville and a fourth <br />crossing at Baseline Road in Lafayette (the "Project"); and <br />WHEREAS, Louisville has applied for and received or will receive a federal Surface <br />Transportation Improvement Program to complete the Project; and <br />WHEREAS, Lafayette and Louisville desire to enter into an IGA to confirm their intent <br />to undertake the Project; to identify the allocation of the cost of the matching funds for the Design <br />Phase of the Project; to establish the process by which such allocation and payment of matching <br />funds will be accomplished; to set forth the agreement by the parties as to the role of Louisville as <br />the lead agency and executor of the grant; and to acknowledge the parties' intent to enter into a <br />future agreement or an amendment to this agreement to address the Construction Phase of the <br />Project; and <br />WHEREAS, Louisville and Lafayette are authonzed to enter into the agreement pursuant to <br />state law, mcludmg but not limited to C.R S. § 29-1-203, and the City Council by this Resolution <br />desires to approve said agreement and authorize its execution; <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />1 The Proposed Intergovernmental Agreement between the City of Louisville and the <br />City of Lafayette concerning the Quiet Zone Project (the "IGA") is hereby approved in essentially <br />the same form as the copy of such IGA accompanying this Resolution. <br />2. The Mayor is authorized to execute the IGA on behalf of the City, except that the <br />Mayor is hereby further granted authonty to negotiate and approve such revisions to said IGA as the <br />Mayor determines are necessary or desirable for the protection of the City, so long as the essential <br />terms and conditions of the IGA are not altered. <br />3. The Mayor, City Manager, Director of Public Works and City staff are hereby <br />authonzed to execute all documents and do all other things necessary on behalf of the City to <br />perform the obligations of the City under the IGA. <br />Resolution No 10, Senes 2017 <br />Page 1 of 2 <br />
