RESOLUTION NO. 11 <br />SERIES 2002 <br /> <br />A RESOLUTION APPROVING AN INTERGOVERNMENTAL AGREEMENT FOR <br />THE ACQUISTION OF A FEE TITLE INTEREST IN AND RECIPROCAL <br />CONSERVATION EASEMENTS OVER CERTAIN VACANT REAL ESTATE FOR <br />OPEN SPACE PURPOSES <br /> <br /> WHEREAS, the County of Boulder ("County") is the owner of a certain parcel of land <br />totaling approximately 154.48 acres, more or less, located at the southeast comer of the intersection <br />of Colorado State Highway 42 and South 104th Street; and <br /> <br /> WHEREAS, the property is commonly referred to as the Mayhoffer Section 15 property <br />and is more particularly described in Exhibit A to the Intergovernmental Agreement accompanying <br />this Resolution (the "Property"); and <br /> <br /> WHEREAS, an Intergovernmental Agreement has been proposed among the City of <br />Louisville, the City of Lafayette and the County for the purchase and sale of fee title interests in and <br />reciprocal conservation easements over the Property; and <br /> <br /> WHEREAS, under the proposed Intergovernmental Agreement, Louisville and Lafayette <br />will each acquire an undivided twenty-five percent fee interest in the Property and reciprocal <br />conservation easements over the entire Property; and <br /> <br /> WHEREAS, the County has stated its desire to sell such interests in the Property to <br />Louisville, and Louisville desires to acquire such interests in the Property, upon the terms and <br />conditions of a mutually-agreeable purchase contract. <br /> <br /> NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE <br />CITY OF LOUISVILLE, COLORADO: <br /> <br /> 1. The proposed Intergovemmental Agreement ("IGA") among the City of Louisville, <br />City of Lafayette and County of Boulder regarding the Property is hereby approved in essentially <br />the same form as the copy of such accompanying this Resolution. <br /> <br /> 2. The Mayor is authorized to execute the IGA, except that the Mayor is hereby <br />granted the authority to negotiate and approve such revisions to said IGA as the Mayor determines <br />are necessary or desirable for the protection of the City, so long as the essential terms and <br />conditions of the IGA are not altered. <br /> <br /> 3. The Mayor, City Manager and City Staff are further authorized to do all things <br />necessary on behalf of the City to perform the obligations of the City under the IGA, and are further <br />authorized to execute and deliver any and all documents necessary to effect the purchase of the <br />City's interests in the Property under the terms and conditions of said IGA. <br /> <br /> <br />
