RESOLUTION NO. 7 SERIES 2024 A RESOLUTION APPROVING AN INSTALLATION SERVICE AGREEMENT WITH ROCKFAN ENTERTAINMENT, LLC FOR UPGRADES TO THE AUDIO-VISUAL EQUIPMENT IN THE COUNCIL CHAMBERS WHEREAS, the audio-visual system in the Louisville City Council Chambers is in need of upgrades; and WHEREAS, there has been proposed an agreement by which Rockfan Entertainment, LLC ("Rockfan") would perform the needed upgrades, including equipment and materials procurement, installation, and integration services, in exchange for payment from the City (the "Agreement"); and WHEREAS, the Agreement contemplates that several components of the City's existing audio-visual system may be salvaged and re -used in the work performed by Rockfan, such as the displays, equipment racks, and some microphones, and that other equipment may require replacement with new and upgraded equipment; and WHEREAS, by this resolution the City Council desires to approve, and authorize the Mayor to execute, the Intergovernmental Agreement. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: Section 1. The City Council hereby approves the Installation Service Agreement (the "Agreement"), between the City of Louisville and Rockfan Entertainment, LLC, for upgrades to the audio-visual system in the City Council Chambers, in essentially the same form as the copy of such Agreement that accompanies this resolution. Section 2. The Mayor is hereby authorized to execute the Agreement on behalf of the City, and the Mayor is hereby further authorized to negotiate and approve such revisions to the Agreement as the Mayor determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the Agreement are not altered.
