ORDINANCE NO. 1745 <br />SERIES 2017 <br />AN EMERGENCY ORDINANCE APPROVING AN INTERGOVERNMENTAL <br />AGREEMENT AMONG THE CITY OF LOUISVILLE, CITY OF LAFAYETTE AND <br />COUNTY OF BOULDER CONCERNING THE PURCHASE OF THE MAYHOFFER <br />FARM OPEN SPACE PROPERTY AND, IN CONNECTION THEREWITH, <br />AUTHORIZING THE PAYMENT OF CITY MONEYS FOR THE ACQUISITION OF A <br />FEE TITLE INTEREST IN AND RECIPROCAL CONSERVATION EASEMENTS OVER <br />THE PROPERTY FOR OPEN SPACE PURPOSES, AND APPROVING AND <br />AUTHORIZING ADDITIONAL INSTRUMENTS AND ACTIONS IN CONNECTION <br />THEREWITH <br />WHEREAS, the County of Boulder ("County") is entering into a Purchase and Division of <br />Land Agreement ("Purchase Agreement") with Empire Road, LLC, to purchase approximately <br />165.3 acres, more or less, of real property, together with minerals and water nghts ("Property"), <br />lying adjacent to and north and south of Empire Road immediately'east of the City of Louisville, <br />commonly referred to as the Mayhoffer Farm and more particularly descnbed and depicted m <br />Exhibit A to the "Intergovernmental Agreement Concenung the Purchase of the Mayhoffer 3 Open <br />Space Property" ("IGA"), which IGA is attached hereto; and <br />WHEREAS, the City of Louisville ("Louisville"), City of Lafayette ("Lafayette") and <br />County intend to enter into the IGA to set forth the parties' agreement concerning funding of the <br />acquisition of the Property, and <br />WHEREAS, under the IGA, it is anticipated Louisville will contnbute $2,063,947 of the <br />anticipated $8,255,789 purchase pnce for the Property and acquire an undivided twenty-five percent <br />(25%) mterest in the Property, together with reciprocal conservation easements over the County's <br />and Lafayette's undivided interests in the Property, and <br />WHEREAS, in connection with such acquisition, Louisville will also obtain from the <br />private owner thereof a nght of first refusal affecting the "Centennial House Lot," as defined m the <br />Purchase Agreement; and <br />WHEREAS, the City Council by this ordinance desires to approve the IGA, authorize the <br />payment of City moneys for Louisville's purchase of its mterests in the Property, and approve and <br />authonze additional instruments and actions m connection with acquisition of the Property for open <br />space purposes. <br />NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />Section 1. The proposed "Intergovernmental Agreement Concerning the Purchase of <br />the Mayhoffer 3 Open Space Property" (the "IGA") among the City of Louisville, City of Lafayette <br />and County of Boulder is hereby approved in essentially the same form as the copy of such IGA <br />accompanying this Ordinance <br />Ordinance No. 1745, Series 2017 <br />Page 1 of 3 <br />
