ORDINANCE NO. 1745 SERIES 2017 AN EMERGENCY ORDINANCE APPROVING AN INTERGOVERNMENTAL AGREEMENT AMONG THE CITY OF LOUISVILLE, CITY OF LAFAYETTE AND COUNTY OF BOULDER CONCERNING THE PURCHASE OF THE MAYHOFFER FARM OPEN SPACE PROPERTY AND, IN CONNECTION THEREWITH, AUTHORIZING THE PAYMENT OF CITY MONEYS FOR THE ACQUISITION OF A FEE TITLE INTEREST IN AND RECIPROCAL CONSERVATION EASEMENTS OVER THE PROPERTY FOR OPEN SPACE PURPOSES, AND APPROVING AND AUTHORIZING ADDITIONAL INSTRUMENTS AND ACTIONS IN CONNECTION THEREWITH WHEREAS, the County of Boulder ("County") is entering into a Purchase and Division of Land Agreement ("Purchase Agreement") with Empire Road, LLC, to purchase approximately 165.3 acres, more or less, of real property, together with minerals and water nghts ("Property"), lying adjacent to and north and south of Empire Road immediately'east of the City of Louisville, commonly referred to as the Mayhoffer Farm and more particularly descnbed and depicted m Exhibit A to the "Intergovernmental Agreement Concenung the Purchase of the Mayhoffer 3 Open Space Property" ("IGA"), which IGA is attached hereto; and WHEREAS, the City of Louisville ("Louisville"), City of Lafayette ("Lafayette") and County intend to enter into the IGA to set forth the parties' agreement concerning funding of the acquisition of the Property, and WHEREAS, under the IGA, it is anticipated Louisville will contnbute $2,063,947 of the anticipated $8,255,789 purchase pnce for the Property and acquire an undivided twenty-five percent (25%) mterest in the Property, together with reciprocal conservation easements over the County's and Lafayette's undivided interests in the Property, and WHEREAS, in connection with such acquisition, Louisville will also obtain from the private owner thereof a nght of first refusal affecting the "Centennial House Lot," as defined m the Purchase Agreement; and WHEREAS, the City Council by this ordinance desires to approve the IGA, authorize the payment of City moneys for Louisville's purchase of its mterests in the Property, and approve and authonze additional instruments and actions m connection with acquisition of the Property for open space purposes. NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: Section 1. The proposed "Intergovernmental Agreement Concerning the Purchase of the Mayhoffer 3 Open Space Property" (the "IGA") among the City of Louisville, City of Lafayette and County of Boulder is hereby approved in essentially the same form as the copy of such IGA accompanying this Ordinance Ordinance No. 1745, Series 2017 Page 1 of 3
