<br />PROPOSED BYLAWS OF THE LOUISVILLE HORTICULTURE AND FORESTRY <br /> ADVISORY BOARD <br /> membership as a whole shall decide which member or members <br /> shall speak for the Board at such times as needed. <br />Section 2: Chair. The Chair shall be responsible for facilitating discussion of <br /> the business of the Board, and assist the Parks and <br /> Recreation Director, or the appointee thereof, prepare the agenda <br /> for each meeting. <br />Section 3: Recorder. The recorder shall prepare a written summary of <br /> meetings and furnish to Parks and Recreation staff for distribution. <br /> ARTICLE IV <br /> Meetings <br />Section 1: Regular meetings shall be conducted as the Board deems <br /> necessary, with a minimum of one meeting per quarter. <br />Section 2: Quorum and Decisions. A majority of the members of the Board <br /> shall constitute a quorum for the purpose of conducting business. <br /> When a quorum is in attendance, action may be taken by the <br /> Board. Discussion shall be open, with all members having an <br /> equal opportunity to address issues under consideration. Board <br /> decisions shall be made upon a majority vote of the members <br /> present. The Board may vote on plans, reports and <br /> recommendations. <br />Section 3: Absences. All members are expected to participate fully in the <br /> business of the Board by attending at least 75% ofthe meetings in <br /> a given year. Any member missing two consecutive meetings <br /> without explanation or prior notice will be contacted by the Parks <br /> and Recreation Director regarding their continued interest and may <br /> be excused from the Board. The Parks and Recreation Department <br /> should be contacted regarding absences of the Board meetings. <br />Section 4: Public Participation. All regular meetings ofthe Board shall be <br /> open to public comment and participation, subject to the Board's <br /> agenda and schedule. Public comment will be solicited at the <br /> beginning of each meeting. <br /> ARTICLE V <br /> Amendments and Suspension of By-Laws <br />Section 1: Amendments to Bv-Laws. The By-Laws of the Board may be <br /> amended only if notice of a motion to amend the By-Laws, duly <br /> seconded, is given at a previous meeting of the Board. Any <br />1/13/06 2 <br />
