Upon the dissolution of CCTV, it shall, <br /> 1 subject to the approval of the City, transfer any and all assets ofCCTV aC~lUired in whole or part <br /> ~yitlLCitv rundst.:el'tr:eSeflttHb>-(...:;.j{rrlH'lde6-e~:HHent-aHd-J:a€iHl-ie5, and/or the proceeds thers;,of <br /> either to the City, or at the City's option, to such organization or organizations designated by the <br /> City to manage access which shall at the time qualify as a tax exempt organization(s) under <br /> Section 501 (c )(3) of the Internal Revenue Code (or the corresponding provisions of any future <br /> United States Internal Revenue Law). <br /> I SECTION 109. INDEMNIFICATION. CCTV shall defend, release, indemnify and save <br /> and hold harmless the City, its elected and appointed officers, employees, agents and volunteers <br /> from and against any and all losses or damages to property or injuries to or death of any person <br /> or persons, including property and employees or agents of the City, and shall defend, release, <br /> indemnifY and save and hold harmless the City from any and all claims, demands suits, actions, <br /> liabilities, causes of action or legal or equitable proceedings of any kind or nature, including <br /> workers' compensation claims, of or by anyone whomsoever, in any way resulting from or <br /> arising out of (I) CCTV's performance of the services to be perfonned under this Agreement or <br /> CCTV's activities in connection here\vith, including the acts or omissions of CCTV or its <br /> officers, employees, representatives, suppliers, invitees, licensees, subconsul tants, <br /> subcontractors, and agents; (2) any breach of this Agreement by CCTV; (3) an)' damage to the <br /> Public _.Access Equipment caused bv the nC12Jigcnt or willful and 'wanton act or omission. of <br /> ccrv;....(;+::!) -the infringement by any materials, documents, papers, or electronic files of any <br /> common law or statutory copyright, trademark, trade secret or other intellectual property right or <br /> I similar rights of any third party; (24) any failure of CCTV to comply with any applicable 13\\'5, <br /> . rules, regulations or other requirements of local, state or federal authorities; (Q~) any claims of <br /> libel, slander, invasion of privacy, or for breach of contract or other injury or damage in law' or at <br /> equity which claims, directly or indirectly, result from CCTV's use of channels, funds, <br /> equipment, facilities or staff provided under or pursuant to this Agreement or the Franchise <br /> Agreement. CCTV's indemnification obligation shall not be construed to extend to damages <br /> resulting from the sole negligence of the City's officers, agents and employees.
