OTHER ACTIVITIES, Undertake other Puhlid>EG aAccess programming <br />activities and services as deemed appropriate by CCTV and consistent with the obligation to <br />facilitate and promote access programming and provide nondiscriminatory access. <br /> <br />I SECTION 32-. CHANNELg OPEN TO PUBLIC. CCTV agrees to keep the Public <br />Access Cehannel(fij open to all potential users regardless of their viewpoint, subject to FCC <br />regulations and other relevant laws. Neither the City, nor Comcast, nor CCTV shall have the <br />I authority to control the content of programming placed 011 the flEublic aAccess €~':Jlanneltsi so <br />tong as such progranm1ing is lawful; provided, however, that, nothing herein shall prevent <br />CeTY, the City, or Comcast from producing or sponsoring programming, prevent the City or <br />Comcast from underwriting programming, or prevent the City, Comcast, or CCTV from <br />engaging in activities designed to promote production of certain types of programming or use by <br />targeted groups as consistent with applicable law and rules for use of channels. CCTV may <br />develop and enforce policies and procedures which are designed to promote local use of the <br />I Public Access €~~haImel(-s1 and make programming accessible to the vie\ving public, consistent <br />with such time, manner, and place regulations as are appropriate to provide for and promote use <br />1 of Public Access eChalmels, Public Access e,5quipment and facilities. <br /> <br />I SECTION 4:~. DESIGNATED REPRESENTATIVE: QUALIFICATIONS. <br /> <br />A. DESIGNATED REPRESENTATIVE. CCTV shall designate a Designated <br />Representative who shall be a single person and principal in charge of the administration of this <br />Agreement for CCTV and whom shall be CCTV's authorized representative for all dealing \vith <br />the City concerning the administration and implementation of this Agreement. CCTV hereby <br />designates as its initial Designated Representative. CCTV may by notice given <br />pursLlant to this Agreement advise the City of its appointment of SLlccessor Designated <br />Representatives. The City may rely upon the guidance, representations and information provided <br />by CCTV and its Designated Representative in the implementation of this Agreement. <br /> <br />B. QUALIFICATIONS. At all times while this Agreement is in effect, CCTV shall <br />maintain itself as a Colorado nonprofit corporation in good standing with the Colorado Secretary <br />of State, with its Board of Directors at all times controlled by, and primarily comprised of, <br />residents of the City of Louisville. <br /> <br /> <br /> <br /> <br />4 <br />
