<br />1. The proposed Purchase Contract to Buy and Sell Real Estate between the City and <br />Andrew Damyanovich Trust and Lillian Damyanovich Trust (the "Purchase Contract"), is hereby <br />approved in essentially the same form as the copy of such Purchase Contract accompanying this <br />Resolution. <br /> <br />2. The proposed Purchase Agreement for the Purchase of Conservation Easements <br />between the City and the County of Boulder (the "County Sale Agreement"), is hereby approved in <br />essentially the same form as the copy of such County Sale Agreement accompanying this <br />Resolution. <br /> <br />3. The Mayor is authorized to execute the Purchase Contract and the County Sale <br />Agreement, except that the Mayor is hereby granted the authority to negotiate and approve such <br />revisions to the Purchase Contract and County Sale Agreement as the Mayor determines are <br />necessary or desirable for the protection of the City, so long as the essential terms and conditions of <br />the Purchase Contract and County Sale Agreement are not altered. <br /> <br />4. The Mayor, City Clerk, Interim City Manager and City Staff are further authorized to <br />do all things necessary on behalf of the City to perform the obligations of the City under the <br />Purchase Contract and County Sale Agreement, and are further authorized to execute and deliver <br />any and all documents necessary to effect the purchase of the Property under the terms and <br />conditions of said Purchase Contract and to effect the sale to the County of Boulder of conservation <br />easements in gross under the terms and conditions of the County Sale Agreement, including but not <br />limited to execution and delivery of closing documents required by the Purchase Contract and <br />County Sale Agreement or the title company in connection with closing. <br /> <br /> <br />19th day of <br /> <br />June <br /> <br />,2007. <br /> <br /> <br />6/15/20076:35 AM ledl) S:\LouisviUe\Resolution\Darnyanovich.Purchase.Resoiution.doc <br /> <br />2 <br />
