INTERGOVERNMENTAL AGREEMENT <br />FOR INTEGRATED INFRASTRUCTURE IMPLEMENTATION STUDY <br />(Louisville Station Area and State Highway 42 Corridor, Locke Street to Paschal Drive) <br />THIS INTERGOVERNMENTAL AGREEMENT FOR THE CONDUCT OF AN <br />INTEGRATED INFRASTRUCTURE IMPLEMENTATION STUDY (this "Agreement ") is <br />entered into this day of , 2011, by and between the CITY OF <br />LOUISVILLE (the "City "), a Colorado home rule municipality, and BOULDER COUNTY, a <br />political subdivision of the State of Colorado, ( "Boulder County "), collectively referred to <br />herein as the "Parties." <br />RECITALS <br />WHEREAS, the parties are authorized to enter into this Agreement pursuant to C.R.S. <br />§29 -1 -201 et seq.; and <br />WHEREAS, the City is conducting a combined study for the downtown Louisville <br />Station Area and State Highway 42 Corridor (Locke Street to Paschal Drive) (the "SH 42 <br />Corridor ") to identify multimodal connections within and to the Louisville Station Area and to <br />develop a multimodal design and implementation plan for the SH 42 Corridor (the "Study "); and <br />WHEREAS, the Parties have agreed that the Study will be best conducted by the City <br />and its consultants for the Study; and <br />WHEREAS, Boulder County will be a Project Partner (the "Partner ") during the Study <br />and will participate in all Partner Working Sessions and provide comments on drafts of the Study <br />and related reports; <br />NOW, THEREFORE, in consideration of the mutual covenants below, and other good <br />and valuable consideration, the receipt of which is acknowledged, the Parties agree to the <br />following terms: <br />TERMS AND CONDITIONS <br />1. The Recitals set forth above are incorporated herein and made a part of this Agreement. <br />2. Exhibit A consists of the Scope of Work for the Study. It outlines the responsibilities <br />of the City and those Study deliverables to be provided by the City's consultants, including the <br />final deliverable of an Integrated Infrastructure Implementation Study. It also identifies the <br />Study's total budget, funding sources, and funding allocation for each of the . two study <br />components (Louisville Station Area, SH 42 Corridor). The City shall choose the consultant(s) <br />to perform the Study after considering the recommendation of a committee consisting of a <br />representative from each of the Partners for the Study (the City, Boulder County, Regional <br />Transportation District, and Colorado Department of Transportation). The City and consultant(s) <br />shall be the parties to the consulting contract(s), and the City as the contracting agency shall have <br />authority for administration of the consultant contract(s). <br />Page 1 of 4 <br />244 <br />
