among the Members. Where such bylaws are not adopted or are incomplete, Robert's Rules of <br /> Order shall be used for the conduct of EAGLE-Net meetings. <br /> 10. FINANCES. <br /> A. Operating Budget. Drawing upon such assistance from the EMT and based upon <br /> such direction as the Board provides, the Financial Advisor shall prepare an operating budget <br /> (the "Operating Budget") each year this Agreement is in effect, in accordance with Colorado's <br /> local government budget laws. The Operating Budget shall set forth anticipated expenses, <br /> financing sources, and proposed service levels necessary to carry out the purpose of this <br /> Agreement. The Operating Budget shall take effect the following fiscal year, beginning on July <br /> 1st. The EMT shall vote to approve any Operating Budget within the time periods required by <br /> Colorado law. To the extent that EAGLE-Net is the recipient of grant funds from the federal <br /> government or any other source, all budget operations shall fully comply with any conditions and <br /> requirements of such grant, and all provisions of applicable law. <br /> B. Designated Contributions. EAGLE-Net may accept any contribution, gift, grant, <br /> bequest or devise that is designated, restricted or conditioned by the donor, provided that the <br /> designation, restriction or condition is consistent with EAGLE-Net's general tax exempt <br /> purposes. Donor-designated contributions will be accepted for special funds, purposes or uses, <br /> and such designations generally will be honored. However, EAGLE-Net shall reserve all right, <br /> title and interest in and to and control over such contributions, and shall have authority to <br /> determine the ultimate expenditure or distribution thereof in connection with any such special <br /> fund, purpose or use. Further, EAGLE-Net shall acquire and retain sufficient control over all <br /> donated funds (including designated contributions) to assure that such funds will be used <br /> exclusively to carry out EAGLE-Net's tax-exempt purposes. <br /> C. Membership Financial Obligations. Members must contract to receive broadband <br /> services offered by EAGLE-Net, and remain current in all financial obligations with respect to <br /> these services to EAGLE-Net. All privileges of membership will be suspended during any <br /> period of time that a Member is delinquent in payments to EAGLE-Net for broadband services. <br /> Aside from the obligation to pay for broadband services provided by EAGLE-Net, Members <br /> shall have no financial obligations to EAGLE-Net, nor shall they have any responsibilities for <br /> financial obligations of EAGLE-Net. <br /> I I. POWERS.
