All were in favor. <br /> Absent: Council member Yarnell. <br /> DISCUSSION/DIRECTION/ACTION — CITY OF LOUISVILLE MEMBERSHIP IN THE <br /> COLORADO COMMUNICATIONS AND UTILITY ALLIANCE <br /> Mayor Muckle requested a staff presentation. <br /> Public Relations Manager Muth reported in September, the City Council authorized staff <br /> to sign a conversion consent form for the Greater Metro Telecommunications <br /> Consortium (GMTC) to convert into the Colorado Communications and Utility Alliance <br /> (CCUA), a Colorado Non-Profit Corporation. Louisville was one of 33 members of the <br /> GMTC, all of which approved the conversion. The City Council directed staff to bring <br /> back the bylaws of the new CCUA for review and to determine if the City would like to <br /> remain a member under this new organization. <br /> The CCUA will continue the same focus on education and advocacy regarding <br /> telecommunications issues as the GMTC provided, but will also expand its mission to <br /> include broadband issues, utility issues, rights-of-way management issues and related <br /> activities that impact local governments. Also, the CCUA will be a statewide <br /> organization rather than only represent the Denver metro area. Membership in the <br /> CCUA gives the City of Louisville three specific advantages. <br /> • It provides a forum with other cities and counties to exchange ideas and get <br /> information on issues. <br /> • It provides Louisville a chance to work as part of a large group when dealing with <br /> larger telecomm and utility companies. <br /> • It provides Louisville legal advice specific to the telecomm and utility industry. <br /> The bylaws meet the requirements in the Colorado Revised Statutes for non-profit <br /> corporations. Section 3.6 requires 10 days minimum notice for meetings (stricter than <br /> the three days minimum for local government meetings). Sections 3.16 and 5.13 of the <br /> bylaws state meetings shall be open to the public as provided in the Colorado Open <br /> Meetings Law. Regarding these sections, Staff recommended the adopted phrasing be <br /> clarified to avoid misinterpretations and will request CCUA amend those sections of its <br /> bylaws. The amendments will further clarify the CCUA's intent to adhere to the <br /> provisions of the Colorado Open Meetings Law. <br /> Dues for 2013 are $1,000 and are already in the 2013 budget. Staff felt membership in <br /> the CCUA would be a great benefit and staff recommends the City Council approve the <br /> 2013 membership in the CCUA. <br /> 33 <br />
