c) Obtain the railroad's detailed estimate of the cost of the Work. <br />d) Establish future maintenance responsibilities for the proposed installation. <br />e) Proscribe future use or dispositions of the proposed improvements in the event of <br />abandonment or elimination of a grade crossing. <br />f) Establish future repair and/or replacement responsibilities in the event of accidental <br />destruction or damage to the installation. <br />H. Environmental Obligations <br />The Local Agency shall perform all Work in accordance with the requirements of the current <br />federal and state environmental regulations including the National Environmental Policy Act <br />of 1969 (NEPA) as applicable. <br />I. Maintenance Obligations <br />The Local Agency shall maintain and operate the Work constructed under this Agreement at <br />its own cost and expense during their useful life, in a manner satisfactory to the State and <br />FHWA, and the Local Agency shall provide for such maintenance and operations obligations <br />each year. Such maintenance and operations shall be conducted in accordance with all <br />applicable statutes, ordinances and regulations pertaining to maintaining such <br />improvements. The State and FHWA may make periodic inspections to verify that such <br />improvements are being adequately maintained. <br />7. TASK ORDERS <br />A. Task Orders - General <br />The Work under this Agreement shall consist of "As Needed" design/construction services at <br />various flood -damaged locations throughout the City of Louisville. This Agreement will <br />enable Task Orders to be written for specific locations/projects as designated under Form <br />FHWA 1547. Neither CDOT nor the Local Agency has any obligation under the Agreement <br />until and unless a Task Order is issued pursuant to this Agreement. The CDOT Project <br />Manager for a specific location/project will coordinate with the appropriate Local Agency <br />contact person to initiate a Task Order. The Local Agency shall be responsible to perform <br />the Work authorized under the Task Order, as well as comply with all applicable terms and <br />conditions of this Agreement. <br />The Local Agency shall perform the Work in accordance with directives and authorizations <br />by the State's representative and pursuant to the terms and conditions of this Agreement <br />and the authorized Task Order. Any Task Order issued pursuant to this Agreement shall <br />incorporate the terms of this Agreement by reference and shall also contain the items listed <br />in the Task Order definition in §4.W. <br />B. Task Order Procedures <br />a) The Local Agency will notify CDOT of work needed under this Agreement. <br />b) The Local Agency will coordinate with the CDOT Project Manager to gather the <br />information necessary for the items listed in the Local Agency Offer definition in §4.L. <br />c) When all items have been gathered, Local Agency shall submit a Local Agency Offer to <br />CDOT for Work. Local Agency's Offer shall be signed by a representative of the Local <br />Agency listed on Exhibit B, who is authorized to contractually bind the Local Agency. The <br />Local Agency Offer shall constitute a firm offer to provide the Work and Local Funds, if <br />specified, on the basis set forth in the Local Agency Offer. The Local Agency Offer shall <br />reference this Agreement between the Parties. <br />d) The State's issuance of a Task Order based on a Local Agency Offer shall constitute <br />an acceptance of the Local Agency Offer and no further signature shall be required on the <br />part of Local Agency. Task Orders shall not be effective or enforceable until they are <br />approved and signed by the Colorado State Controller or its designee. Except as provided <br />in §8.F, the State shall not be liable to pay or reimburse Local Agency for any <br />performance hereunder or under a Task Order including, but not limited to, costs or <br />expenses incurred, prior to execution of a Task Order for the specified Work. Upon <br />execution of the Task Order, the Local Agency shall successfully complete the Work <br />within the price identified in the Task Order. <br />Page 9 of 26 <br />
