Local Agency Offer Amendment <br />"Local Agency Offer Amendment" means any Local Agency offer amendment to an exisiting <br />Task Order, which is executed by the Local Agency in the form substantially in conformance <br />with Exhibit P and shall each include all relevant information. <br />N. Local Funds <br />"Local Funds" means the funds provided by the Local Agency to fund performance of the Work <br />as required by the FHWA to match the Federal Funds pursuant to any Task Order under this <br />Agreement. <br />O. Option Letter <br />"Option Letter" means any option letter executed by CDOT in the form substantially in <br />conformance with Exhibit M in compliance with the terms of this Agreement. <br />P. Oversight <br />"Oversight" means the term as it is defined in the Stewardship Agreement between CDOT and <br />the FHWA and as it is defined in the Local Agency Manual. <br />Q. Participating Funds <br />"Participating Funds" means the aggregate of Federal Funds plus Local Funds plus State Funds <br />(if required by the FHWA). <br />R. Payable Participating Percentage <br />"Payable Participating Percentage" means the aggregate percentage of Participating Costs for <br />Federal Funds and State Funds (as identified in a Task Order Budget). <br />S. Party or Parties <br />"Party" means the State or the Local Agency and "Parties" means both the State and the Local <br />Agency <br />T. Review <br />"Review" means examining Local Agency's Work to ensure that it is adequate, accurate, correct <br />and in accordance with the criteria established in §6 and in the Task Orders. <br />U. Services <br />"Services" means the required services to be performed by the Local Agency pursuant to this <br />Agreement. <br />V. State Funds <br />"State Funds" means the funds provided by the State to fund performance of the Work, which <br />may be required by the FHWA to match the Federal Funds pursuant to any Task Order under <br />this Agreement or may be a voluntary contribution by the State. <br />W. Task Order <br />"Task Order" means any task order executed by CDOT in the form substantially in conformance <br />with Exhibit D in compliance with §7, which shall each include either (i) a completed Local <br />Agency Offer with all required attachments or, (ii) for existing Task Orders, a Local Agency Offer <br />Amendment with all required attachments. <br />X. Task Order Budget <br />"Task Order Budget" means the budget attached to an approved Task Order which details the <br />budget for the Work to be performed by the Local Agency under the specified Task Order, which <br />shall be substantially in the form of Exhibit C. Each Task Order Scope must be within the scope <br />of work in Exhibit A. <br />Y. Task Order Scope <br />"Task Order Scope" means the scope of work attached to an approved Task Order which details <br />the Work to be performed by the Local Agency under the specified Task Order.
