'1443 Twin <br />Superior <br />October 10, 2014 <br />Malcolm Fleming <br />Louisville City Manager <br />749 Main Street <br />Louisville CO 80027 <br />Subject: Cost Sharing for Professional Services for a Potable Water Interconnection <br />Dear Malcolm: <br />Superior and Louisville Staff have had ongoing discussions related to designing a Potable <br />Water Interconnect. The Potable Water Interconnect Study was completed in March of <br />2013 with potential benefits for both communities. <br />This letter is intended to confirm the terms of a cost - sharing agreement for the <br />professional services needed to design the Potable Water Interconnect facilities. Our <br />understanding of this agreement is as follows: <br />1. This work will be completed by JVA Consulting Engineers, Inc. whom is the low <br />bidder for the design. <br />2. The scope of work to be performed is represented by the attached proposal from <br />JVA, Inc. dated September 24, 2014. <br />3. The total proposed not to exceed cost of $106,500 is to be split equally between <br />both communities. Therefore the cost of services will have a maximum <br />expenditure to each agency of $53,250. <br />4. Superior will manage the scope of work and be the lead agency for administration <br />of the contract. <br />5. Superior will pay the consultant and Louisville will reimburse Superior based on <br />monthly invoices submitted to Louisville, with payment upon receipt. <br />6. This is a letter of understanding for cost - sharing, not a joint venture, with neither <br />party an agent of the other. <br />I trust this accurately represents our understanding of the design of the Interconnection <br />of our Potable Water systems. <br />124 E.
