DISCUSSION/DIRECTION CONCERNING POSSIBTm PURCHASE OF LASTOKA
PROPERTY AT SOUTH BOULDER ROAD AND HIGHWAY 42

Review of Preliminary Draft Agreement -

Susan Griffiths, City Attorney, stated the documents contemplated
for the acquisition of the Lastoka property are in a state of flux,
at this point. She explained that two (2) principle documents are
being drafted, neither of which are complete.

PURCHASE AGREEMENT: An option to purchase in a lease. It's
currently being drafted by the Boulder County Attorney's
office. Council had received a copy of the February 4
version. Yesterday, March 1, Griffiths received another
version of the document, which is in a state of change. The
parties to that agreement are the sellers of the property,
Boulder County, City of Lafayette, and the City of Louisville.
The agreement provides for the initial purchase of Parcel 1.
As of yet, there is no specific map identifying the location
of Parcels 1, 2, 3, and 4. Griffiths explained that what is
contemplated under the purchase agreement and the IGA is that
there be a purchase of what is called Parcel'l, initially, and
then an option to purchase Parcels 2, 3, and 4 over a period
of three (3) years or sooner. Parcel 1 is 60 acres,
approximately the southern 60 acres of the property. Parcel
4, the last to be purchased, is 20 acres in the northwest
corner, approximately, of the property. Griffiths explained
that Parcels 2 and 3 are not yet specifically identified, but
they would be 20 acres each in size. They would divide in
some compact format the remaining 40 acres, excluding the
southern part and the northwest 20 acres. She stated that the
purchase agreement also gives the governmental entities a
lease on Parcels 2, 3, and 4. There is no requirement that
they be purchased, but there is an option to purchase those
three (3) parcels. Originally, the option to purchase was
solely for Boulder County, for Parcels 2 and 3, then Boulder
County and Lafayette for Parcel 4. The latest proposal may be
to have all of the parties have options to purchase Parcels 2,
3, and 4.

INTERGOVERNMENTAL AGREEMENT - It is being drafted by the
Lafayette City Attorney's office. Council had seen the draft
dated February 8, 1993. Another draft is being worked on as
of this date, March 2, 1993, so it isn't available as of yet.
The draft dated February 8, 1993, does not contain any of the
matters that were discussed at a general meeting held on
February 2, 1993, attended by the Mayor, the City
Administrator, Griffiths, representatives of Boulder County,
and the City of Lafayette. Also, not included in the February
8, 1993, draft of the IGA are the matters discussed at the
last meeting of the Council in which the Council identified
six (6) issues that we felt to be very important to be
