DISCUSSION/DIRECTION CONCERNING POSSIBTm PURCHASE OF LASTOKA

<br />Review of Preliminary Draft Agreement -
<br />
<br />Susan Griffiths, City Attorney, stated the documents contemplated
<br />for the acquisition of the Lastoka property are in a state of flux,
<br />at this point. She explained that two (2) principle documents are
<br />being drafted, neither of which are complete.
<br />
<br />PURCHASE AGREEMENT: An option to purchase in a lease. It's
<br />currently being drafted by the Boulder County Attorney's
<br />office. Council had received a copy of the February 4
<br />version. Yesterday, March 1, Griffiths received another
<br />version of the document, which is in a state of change. The
<br />parties to that agreement are the sellers of the property,
<br />Boulder County, City of Lafayette, and the City of Louisville.
<br />The agreement provides for the initial purchase of Parcel 1.
<br />As of yet, there is no specific map identifying the location
<br />of Parcels 1, 2, 3, and 4. Griffiths explained that what is
<br />contemplated under the purchase agreement and the IGA is that
<br />there be a purchase of what is called Parcel'l, initially, and
<br />then an option to purchase Parcels 2, 3, and 4 over a period
<br />of three (3) years or sooner. Parcel 1 is 60 acres,
<br />approximately the southern 60 acres of the property. Parcel
<br />4, the last to be purchased, is 20 acres in the northwest
<br />corner, approximately, of the property. Griffiths explained
<br />that Parcels 2 and 3 are not yet specifically identified, but
<br />they would be 20 acres each in size. They would divide in
<br />some compact format the remaining 40 acres, excluding the
<br />southern part and the northwest 20 acres. She stated that the
<br />purchase agreement also gives the governmental entities a
<br />lease on Parcels 2, 3, and 4. There is no requirement that
<br />they be purchased, but there is an option to purchase those
<br />three (3) parcels. Originally, the option to purchase was
<br />solely for Boulder County, for Parcels 2 and 3, then Boulder
<br />County and Lafayette for Parcel 4. The latest proposal may be
<br />to have all of the parties have options to purchase Parcels 2,
<br />3, and 4.

<br />INTERGOVERNMENTAL AGREEMENT - It is being drafted by the
<br />Lafayette City Attorney's office. Council had seen the draft
<br />dated February 8, 1993. Another draft is being worked on as
<br />of this date, March 2, 1993, so it isn't available as of yet.
<br />The draft dated February 8, 1993, does not contain any of the
<br />matters that were discussed at a general meeting held on
<br />February 2, 1993, attended by the Mayor, the City
<br />Administrator, Griffiths, representatives of Boulder County,
<br />and the City of Lafayette. Also, not included in the February
<br />8, 1993, draft of the IGA are the matters discussed at the
<br />last meeting of the Council in which the Council identified
<br />six (6) issues that we felt to be very important to be
<br />
