WHEREAS, the parties are authorized to enter into such Agreement pursuant to law, including without limitation, Colorado Constitution, Article XIV § 18, and § 29 -1 -203, C.R.S. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: 1. The City Council hereby approves the proposed Agreement for Delegation of Activities, Boulder County Collaborative CDBG -DR Sub - Allocation, Grant No. B- 13 -DS -08 -001: INF- 00006, between the City of Louisville and the City of Longmont ( "Agreement "), in essentially the same form as the copy of such Agreement accompanying this Resolution. 2. The Mayor is authorized to execute the Agreement on behalf of the City, except that the Mayor is hereby further granted authority to negotiate and approve such revisions to said Agreement as the Mayor determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the Agreement are not altered. 3. The Mayor, City Manager, Deputy City Manager, City Water Resources Engineer and other City staff are hereby authorized to execute all documents and do all other things necessary on behalf of the City to perform the obligations of the City under the Agreement. 4. Without limiting the provisions of Section 3, above, City Manager Malcolm Fleming is hereby designated as the official representative of the City authorized to take all actions in connection with the Agreement and to provide all such information as may be required in connection with the Agreement, and to enter into such subsequent contracts, including all understandings and assurances contained therein, as are necessary or desirable in connection with the Agreement or implementation thereof.
