WHEREAS, the parties are authorized to enter into such Agreement pursuant to law, <br />including without limitation, Colorado Constitution, Article XIV § 18, and § 29 -1 -203, C.R.S. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF <br />THE CITY OF LOUISVILLE, COLORADO: <br />1. The City Council hereby approves the proposed Agreement for Delegation of <br />Activities, Boulder County Collaborative CDBG -DR Sub - Allocation, Grant No. B- 13 -DS -08 -001: <br />INF- 00006, between the City of Louisville and the City of Longmont ( "Agreement "), in essentially <br />the same form as the copy of such Agreement accompanying this Resolution. <br />2. The Mayor is authorized to execute the Agreement on behalf of the City, except that <br />the Mayor is hereby further granted authority to negotiate and approve such revisions to said <br />Agreement as the Mayor determines are necessary or desirable for the protection of the City, so long <br />as the essential terms and conditions of the Agreement are not altered. <br />3. The Mayor, City Manager, Deputy City Manager, City Water Resources Engineer <br />and other City staff are hereby authorized to execute all documents and do all other things <br />necessary on behalf of the City to perform the obligations of the City under the Agreement. <br />4. Without limiting the provisions of Section 3, above, City Manager Malcolm <br />Fleming is hereby designated as the official representative of the City authorized to take all <br />actions in connection with the Agreement and to provide all such information as may be required <br />in connection with the Agreement, and to enter into such subsequent contracts, including all <br />understandings and assurances contained therein, as are necessary or desirable in connection <br />with the Agreement or implementation thereof. <br />PASSED AND ADOPTED this 544; day of C� , 2016. <br />ATTEST: • ! ; rey Lipton, Mayor Pro Tem <br />Carol Hanson, Acting City Clerk <br />Resolution No. 16, Series 2016 <br />Page 2 of 2 <br />
