Louisville City Council Meeting <br />April 2O, 2OO4 <br />Page 13 of 15 <br /> <br />The 2004 Conservation Trust - Lottery Fund appropriations will be increased <br />from $636,000 to $684,750. <br /> <br />Mayor Sisk opened the public hearing and asked if anyone in the audience wished to <br />speak for or against Resolution No. 25, Series 2004, and hearing none, the public hearing <br />was closed <br /> <br />MOTION: Cotmcil member Keany moved to approve Resolution 25, Series 2004, <br />seconded by Council member Roll call vote was taken. The motion passed by a vote of <br />6-0. Council member Brown absent. <br /> <br />DISCUSSION/DIRECTION - PROPOSED INTERGOVERNMENTAL <br />AGREEMENT (IGA) FOR INTERCHANGE IMPROVEMENTS WITH THE <br />TOWN OF SUPERIOR <br /> <br />Mayor Sisk asked City Attorney Light to review the most recent draft of the McCaslin <br />Interchange Financing IGA. City Attorney noted the IGA no longer contains the land use <br />issue on Biella/Menkick property. The agreement is solely focused on Interchange <br />financing. He reviewed the following changes to the prior draft: <br /> <br />1. Superior's revision to Section l(b) and 10 make a firm commitment to the Second <br /> Phase Improvements, whether that Phase is the northeast loop, a widening of the <br /> bridge, or "other improvement necessary to accomplish the same improvements to <br /> traffic flow as anticipated by the currently planned northeast loop and related <br /> improvements." <br />2. Dispute procedures include Superior providing notice of a change order, giving <br /> Louisville three days from the day of receipt to approve or provide its grounds for <br /> disapproval. <br />3. Section 2 of Superior's draft includes a 4% factor for administrative staffing costs <br /> for all previous and future project costs. <br />4. Section 6 proposed the two entities share equally in the cost of the operation, <br /> maintenance and repair of the improvements in the CDOT right-of-way. The <br /> language seeks a commitment that is uncertain in scope. <br />5. Section 9 of Superior's draft contains a new representation that each party has <br /> appropriated a $250,000 contingency. <br /> <br />Staff recommends the City Manager and City Attorney meet with the Superior Staff to <br />negotiate a final draft agreement. <br /> <br />COUNCIL COMMENTS <br /> <br />Mayor Sisk stated one of his primary concerns is the 4% administrative cost proposed by <br />the Town of Superior. He noted the consulting firm receives a construction management <br />fee of 15%, which would be shared by Louisville and Superior, and adding Superior's <br />requested 4% administrative staffing cost, would bring the total to 19%. <br /> <br />13 <br /> <br /> <br />
