Louisville City Council Meeting
April 20, 2004

Council member Van Pelt voiced her belief the City should prepare a draft agreement in
response. She was not in favor of making a firm commitment on future projects, the 4%
administrative cost or the $250,000 contingency fee.

Council member Keany concurred with Council member Van Pelt's comments, but
voiced concern that Louisville may not have the funds for the project when CDOT gives
their approval to go forward. He stressed the importance for the Louisville Council to
make a commitment to the project.

City Attorney Light reviewed the original 1997 IGA, which stated the parties will
participate in a one-time reconstruction of the interchange. He reviewed earlier drafts of
the agreement, which had an acknowledgment that the one-time reconstruction meant two
components.

Council member Marsella stated she had no problem with the legitimate cost, but was
opposed to the inclusion of the Staff and Attorney's time.

There was discussion relative to the City of Louisville taking over the project, if the need
arose. Public Works Director Tom Phare was asked to comment on his department's
ability to take over the project. Phare stated it was within the Public Works Department's
ability to oversee the project, however, it would arrive at the peak season, when his Staff
is committed to various projects.

There was Council consensus to instruct Staff to meet and negotiate with the Town of
Superior Staff.

AWARD BID FOR PURCHASE OF NEW AND REPLACEMENT COMPUTERS
TO DELL CORPORATION

Mayor Sisk noted the bid for the purchase of new and replacement computers was a
single company bid proposal. As several Council members voiced concern with the
single bid, Mayor Sisk suggested the matter be continued to the next Council meeting for
discussion. There was Council consensus.

MOTION: Mayor Sisk moved to continue the Award of the Bid for Purchase of New
and Replacement Computers to Dell Corporation to May 4, 2004. Council member
Levihn seconded the motion. All in favor. Council member Brown absent.

CITY ATTORNEY'S REPORT

City Attorney Light reported on the Hoyle Litigation and asked coUncil for their
preference on how they wished to discuss the matter. He suggested the matter be

discussed either at a Work session or in executive session. There was Council consensus
to discuss this matter at a work session.

14
