FIRST AMENDMENT TO THE INTERGOVERNMENTAL AGREEMENT BETWEEN THE <br />CITIES OF LAFAYETTE AND LOUISVILLE AND TOWN OF ESTES PARK REGARDING <br />THE PUBLIC WORKS COMPUTERIZED MAINTENANCE AND MANAGEMENT SERVICES <br />AGREEMENT <br />WHEREAS, on June 17, 2014, the Cities of Lafayette and Louisville, and the Town of Estes Park <br />(collectively, the "Parties") entered into an intergovernmental agreement ("Agreement") for the shared <br />use and cost of a public works software maintenance and management program; and <br />WHEREAS, all Parties desire to continue the Agreement, for six more years, subject to annual <br />appropriation by each Party's governing body. <br />NOW, THEREFORE, the Parties agree as follows: <br />Section 1. The first sentence of the third paragraph of 1. "Parties/Terms" of the Agreement is <br />repealed in its entirety and reenacted to provide: <br />The ELA and sublicense agreements shall remain in effect through June 17, 2018 and, <br />absent sixty (60) days prior written notice of non -renewal by any party, the Agreement <br />shall automatically renew on an annual basis for up to five additional one-year terms. <br />Section 2. All other terms and conditions of the Agreement shall remain in full force and effect. <br />IN WITNESS WHEREOF, the parties have executed this First Amendment to the Intergovernmental <br />Agreement effective this day of December 2017. <br />Attest: <br />Susan Koster, CMC, City Clerk <br />APPROVED AS TO FORM: <br />David S.
