REVOCABLE LICENSE
<br />THIS AGREEMENT ("Agreement"), dated as of this day of , 2019, is by
<br />and between the HOUSING AUTHORITY OF THE COUNT OF BOULDER, OLORADO, a
<br />public body, corporate and politic, whose legal address is P 0 Box 471, Bou der, CO 80306
<br />("Licensor"), and the CITY OF LOUISVILLE, a Colorado home rule municipality, whose legal
<br />address is 749 Main St, Louisville, CO, 80027 ("Licensee" and together the "Parties").
<br />Recitals
<br />A. Licensor is the owner of certain real property located at 0 Kaylix Avenue, Boulder County
<br />Assessor Parcel No. 157505477012 (the "Property").
<br />B Licensee requests Licensor's consent to access the Property to temporarily use a portion of
<br />the Property for staging and vehicle storage during construction of an underpass at the intersection of
<br />State Highway 42 and the Lake to Lake Trail (the "Underpass Project").
<br />C Licensor desires to grant Licensee a revocable license over a portion of the Property, under
<br />the terms and conditions provided in this Agreement.
<br />NOW, THEREFORE, in consideration of the recitals, promises, covenants, and undertakings
<br />described above and hereinafter set forth, the Parties agree as follows
<br />1 Temporary License For and in consideration of the mutual promises contained in this
<br />Agreement, Licensor hereby grants to Licensee and its officers, directors, members, employees,
<br />agents, contractors, subcontractors, tenants, subtenants, visitors, invitees and licensees a revocable
<br />license over, upon, across, through, and under the portion of the tract of land described and depicted
<br />in Exhibit A ("Temporary License Area"), together with all rights and privileges as are necessary or
<br />incidental to the reasonable and proper use of such revocable license, for the uses and purposes and
<br />upon the terms hereinafter set forth.
<br />2. Use of the License. Permitted uses of the Temporary License Area are limited to use as a
<br />construction staging area, access and parking for construction vehicles, temporary storage of
<br />construction equipment and building materials and supplies, and temporary construction buildings
<br />(but no permanent structures of any kind whatsoever).
<br />3 Duration/Termination. This Agreement shall automatically expire with no further action
<br />required by either party upon whichever occurs first: (a) 30 days after written notice of termination
<br />from one party to the other, or (b) completion of construction of the Underpass Project.
<br />4 Public Access. Licensor and Licensee do not intend to permit public access or use of the
<br />Temporary License Area.
<br />5 Rights and _Obligations.
<br />a. During the term of this Agreement, Licensor shall not erect or construct, or allow to
<br />be erected or constructed, any building or other structure on the lands described herein which may
<br />interfere with the Licensee's full enjoyment of the rights hereunder without the consent of the
<br />Licensee, which consent shall not be unreasonably withheld, conditioned, or delayed.
<br />b Licensee's land disturbance activity on the Temporary License Area will comply
<br />with all applicable City, County, State and Federal requirements and regulations. Licensee will be
