DocuSign Envelope ID: EBBO1 D9B-6C8B-4E5E-84FE-AA1110FDF6EE <br />INTERGOVERNMENTAL AGREEMENT <br />Louisville Bus Stop Funding <br />This Intergovernmental Agreement ("Agreement") by and between the City of Louisville, <br />a Colorado home rule municipal corporation (the "City") and the County of Boulder, a body <br />politic and corporate of the State of Colorado (the "County") (collectively the "Parties"), is made <br />to be effective on the j7 day of inoviikers , 2019 ("Effective Date"). <br />RECITALS <br />WHEREAS, the functions described in this Agreement are lawfully authorized to each of <br />the Parties that perform them hereunder, as authorized by §§ 29-20-101 et seq.; §§ 30-28-101 et <br />seq.; §§ 31-23-201 - 309; C.R.S., as amended; and <br />WHEREAS, §§ 29-1-201, et seq., C.R.S., as amended, authorizes the Parties to cooperate <br />and contract with one another with respect to functions lawfully authorized to each of the Parties <br />and the people of the State of Colorado have encouraged such cooperation and contracting through <br />the adoption of Colorado Constitution, Article XIV, § 18 (2); and <br />WHEREAS, the Parties have each followed the procedure required to enter into this <br />Agreement; and <br />WHEREAS, included in the authorized uses of the proceeds of the 0.10% countywide <br />sales tax approved by the voters of Boulder County on November 4, 2007 ("Sales Tax") are bus <br />stop enhancements to increase alternative modes of transportation; and <br />WHEREAS, the Parties desire to construct enhanced bus stops for the use by the public <br />on property owned by the City. <br />AGREEMENT <br />NOW THEREFORE, in consideration of the above and the mutual covenants and <br />commitments made herein, the Parties agree as follows: <br />A. PROJECT SCOPE, DESCRIPTION AND RESPONSIBILITIES. <br />1. The City will manage the design and construction ofa minimum of six bus stops (three <br />locations with a pair of stops at each location). The expected locations of the six stops <br />and backup locations are shown on Exhibit A, attached hereto and incorporated herein. <br />2. The City, or City's designated contractor, will be responsible for the construction of <br />the concrete pad and the purchase and installation all hardware and fixtures on the <br />concrete pad ("Bus Stop Improvements"). Fixtures may include shelters, benches, bike <br />racks, trash cans, and/or signage. <br />3. The County will contribute a total of' $30,000 from the Sales Tax (the "Payment") to <br />the City for the design and construction of the Bus Stop Improvements. The County <br />1 <br />
