Local Licensing Authority <br />Meeting Date: May 15, 2000 <br /> <br />Myers asked Mr. Davis if he had a signed signature page for the Asset Purchase Agreement, which <br />was missing from the copy provided to the Authority. <br /> <br />Attorney Moore stated that they did not possess the signature page and clarified that the Termination <br />and Release Agreement dated January 19, 2000 is the new agreement specified in Section C, and <br />supercedes the Asset Purchase Agreement. <br /> <br />Chairperson Myers asked Attorney Moore to explain how the consent of the current license holders <br />was implied within the Bill of Sale. Mr. Moore stated that the language used in the Bill of Sale <br />conveyed to the applicants the consent of the previous owners to the complete and total sale of all <br />tangible and intangible items of the business, a complete transfer. <br /> <br />Member Lipton asked about the 1999 license renewal and temporary permit. Authority Secretary <br />Nancy Varra stated that Mr. David Woodard renewed the liquor license February 23, 1999. The first <br />temporary permit was issued in November 16, 1999 and was for 120 days. <br /> <br />Member Turner asked if it was the opinion of the applicant that Exhibit B referenced in the Asset <br />Purchase Agreement was never compiled and does not exist. Attorney Moore stated'that Exhibit B <br />may not exist. Mr. Davis stated that he has copies of the handwritten schedule of inventory and <br />equipment but was never provided any other documents including vendor agreements. <br /> <br />Member Kimmett asked Mr. Davis if there were any licenses or permits included in Exhibit B of the <br />Asset Purchase Agreement. Mr. Davis responded that they are mentioned but no licenses, permits or <br />copies thereof were attached to the Agreement. <br /> <br />Member Lipton asked Mr. Davis if they had a permit from the Board of Health. Mr. Davis responded <br />that they obtained a health permit and a federal tax stamp on their own without the benefit of any <br />documents by the former owner, David L. Woodard. <br /> <br />Chairperson Myers asked if Mr. Davis previously stated that Exhibit B exists but does not contain all <br />the items listed. Mr. Davis said that the only attachments were two handwritten lists, but he did not <br />have the lists with him. Myers asked if Mr. Davis he would be agreeable to leave the meeting and <br />bring back the handwritten documents attached as Exhibit B to the Asset Purchase Agreement. Mr. <br />Davis agreed to leave the meeting to get the lists. <br /> <br />Attorney Moore stated he would continue with the outline of his position statement until Mr. Davis' <br />return. <br /> <br />Chairperson Myers asked Mr. Moore if he knew of any license that Holly & Mike' s Ribs, Inc. had <br />taken possession of as property from David L. Woodard or Barbara J. Woodard as part of the sale. <br />Attorney Moore responded that the state sales tax license had been transferred. <br /> <br />Authority Secretary Varra stated that sales tax licenses are intrinsic to each business and are not <br />transferable and that the applicant would have applied for a new license. <br /> <br />Chairperson Myers asked Attorney Moore for his interpretation of Section 1.4 of the Asset Purchase <br /> <br />\~REDW A RRANXLIQUOR\2000WIINUTESWIINUTES 051500SPECIAL.DOC <br /> <br /> <br />
