Louisville Local Licensing Authority Meeting Date: June 26, 2000 removed from the "Consent Calendar" and the authority action taken separately on said item in the order appearing on the Agenda. Be Corporate Report of Changes - Albertson' s Inc., d/b/a Albertson' s Food Center//812 - 3.2 Percent Beer (Off Premises) - 910 West Cherry Avenue. Authority Attorney Kathleen Kelly requested clarification from the licensee on Capital Research and Management Company noted as a 10% stockholder of Albertson' s, Inc. stock. Specifically, Attorney Kelly noted the Authority should confirm that this stockholder does not have any control over the liquor license. Authority Attorney Kelly noted for the Authority that The Noodle Shop Co - Colorado, Inc. is 100% owned by The Noodle Shop Company. She stated that the applicant has been requested to submit individual history records as part of the state master file for the officers and directors of the parent company as required by state statute to establish good moral character. Authority Attorney Kelly advised the Authority to be prepared to address this issue as the applicant has indicated that they will be asking the Authority to agree to a principal officer designation instead of submitting the additional individual history records. This designation would be accomplished through a resolution by the parent company and would Permit the parent company, The Noodle Shop Company to name the subsidiary, The Noodle Shop Co - Colorado, Inc. as their designee. As designee, The Noodle Shop Co - Colorado, Inc. would be solely responsible for the operation of the restaurant and control of the liquor license. Attorney Kelly advised the members that she has attempted to contact Matt Cook of the State Liquor Enforcement Division on this matter and would be prepared to advise the Authority at the July 31 st public heating. 2
